This Purchase Order is issued by Al-Rashid Industrial Solutions Co. Ltd. (hereinafter referred to as the "Buyer") to Gulf Technical Talent & Engineering Services LLC (hereinafter referred to as the "Supplier") for the engagement of a qualified Mechatronics Engineer to provide specialized technical services at the Buyer's manufacturing facility located in Saudi Arabia Jeddah. The Mechatronics Engineer shall be responsible for the design, integration, commissioning, and ongoing maintenance of automated production lines, robotic assembly systems, and industrial control networks within the Buyer's Jeddah operations.

The Mechatronics Engineer engaged under this Purchase Order shall perform the following duties and responsibilities at the Buyer's premises in Saudi Arabia Jeddah:

The Mechatronics Engineer assigned to this Purchase Order must meet the following minimum qualifications:

• Bachelor's or Master's degree in Mechatronics Engineering, Mechanical Engineering, or Electrical & Electronic Engineering from an accredited institution.
• Minimum of 8 years of progressive experience in mechatronic system design, industrial automation, and robotics.
• Proficiency in Siemens TIA Portal, Allen-Bradley Studio 5000, Mitsubishi GX Works, and relevant CAD/CAE software.
• Valid Saudi Arabian professional license or Iqama permitting the practice of engineering in Saudi Arabia Jeddah.
• Fluency in English; working proficiency in Arabic is strongly preferred for on-site coordination in Saudi Arabia Jeddah.
• Experience with ISO 9001, ISO 14001, and Saudi Standards, Metrology and Quality Organization (SASO) compliance requirements.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Jeddah, Saudi Arabia.
2. Commencement Date: The Mechatronics Engineer shall report to the Buyer's facility in Saudi Arabia Jeddah no later than 1 July 2025. The Supplier shall ensure all visa, work permit, and Iqama arrangements are completed prior to this date.
3. Payment Terms: Payment shall be made in monthly installments within 30 days of receipt of a valid invoice and approval of the monthly progress report by the Buyer's Project Manager. Payment shall be made via bank transfer to the Supplier's designated account in Saudi Arabia.
4. Working Hours: The Mechatronics Engineer shall adhere to the standard working schedule in Saudi Arabia Jeddah, which is Sunday through Thursday, 8:00 AM to 5:00 PM, with a one-hour break for prayer and lunch. Overtime, if required, shall be compensated at 1.5 times the standard hourly rate.
5. Insurance and Liability: The Supplier shall maintain comprehensive professional indemnity insurance and workers' compensation coverage for the Mechatronics Engineer throughout the duration of this Purchase Order, in compliance with Saudi Arabian labor law.
6. Confidentiality: The Mechatronics Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All technical drawings, process parameters, and proprietary data of the Buyer shall remain the exclusive property of Al-Rashid Industrial Solutions Co. Ltd.
7. Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
8. Compliance: The Supplier and the Mechatronics Engineer shall comply with all applicable Saudi Arabian regulations, including but not limited to the Saudi Labor Law, SASO standards, and local municipal bylaws applicable to the Jeddah industrial zone.

All services under this Purchase Order shall be performed at the Buyer's facility located at King Abdulaziz Economic City, Jeddah, Saudi Arabia. The Supplier shall coordinate with the Buyer's site security team for access badges and safety induction. The Mechatronics Engineer shall comply with all site safety protocols, including the mandatory use of personal protective equipment (PPE) as specified by Saudi Arabian occupational health and safety regulations.

This Purchase Order constitutes a binding commitment upon signature by both parties. The Supplier acknowledges receipt of this Purchase Order and agrees to furnish the Mechatronics Engineer and all associated services as described herein for the project located in Saudi Arabia Jeddah.
