(hereinafter referred to as the "Buyer") to Gulf Mechatronics & Engineering Consultancy FZE (hereinafter referred to as the "Seller") for the procurement of professional engineering services rendered by a qualified Mechatronics Engineer. The Mechatronics Engineer shall be deployed to the Buyer's manufacturing facility located in Saudi Arabia Riyadh, specifically at the King Abdullah Economic City industrial zone, for a period of twelve (12) months commencing on 01 July 2025.
The Mechatronics Engineer is expected to possess a minimum of a Bachelor's degree in Mechatronics Engineering, Mechanical Engineering, or Electrical Engineering from an accredited university, with a minimum of eight (8) years of progressive experience in industrial automation, robotics integration, PLC programming, SCADA systems, and embedded control systems. The Mechatronics Engineer must hold a valid Saudi Arabian professional license issued by the Saudi Commission for Health Specialties (SCFHS) or the relevant engineering regulatory body, and must be fluent in both Arabic and English to effectively communicate with all stakeholders within the Saudi Arabia Riyadh operations.
2. SCOPE OF WORKThe Mechatronics Engineer engaged under this Purchase Order shall perform the following duties and responsibilities at the Buyer's facility in Saudi Arabia Riyadh:
- Design, develop, and commission integrated mechatronic systems combining mechanical, electrical, and software components for the Buyer's automated production lines.
- Program, configure, and troubleshoot Programmable Logic Controllers (PLCs), Human-Machine Interfaces (HMIs), and Distributed Control Systems (DCS) across all production units in Saudi Arabia Riyadh.
- Lead the integration of industrial robotic arms, conveyor systems, and sensor networks into the existing manufacturing infrastructure.
- Conduct root-cause analysis on system failures and implement corrective and preventive maintenance strategies to minimize downtime.
- Prepare detailed technical documentation, including P&ID diagrams, wiring schematics, control logic descriptions, and as-built drawings.
- Coordinate with the Buyer's operations team in Saudi Arabia Riyadh to ensure compliance with Saudi Standards, Metrology and Quality Organization (SASO) regulations and local industrial safety codes.
- Provide weekly progress reports and monthly performance evaluations to the Buyer's Project Management Office.
- Mentor and supervise a team of up to four (4) junior technicians assigned to the Saudi Arabia Riyadh site.

- 4.1 This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Riyadh, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration.
- 4.2 The Seller shall ensure that the Mechatronics Engineer assigned to this Purchase Order holds all necessary work permits, Iqama (residence permit), and professional registrations valid for the duration of the contract in Saudi Arabia Riyadh. Any costs associated with visa processing and work permit renewal shall be borne by the Seller unless otherwise agreed in writing.
- 4.3 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice if the Mechatronics Engineer fails to meet the performance benchmarks outlined in the Statement of Work, or if the Seller is unable to provide a qualified replacement within fourteen (14) days of a written request.
- 4.4 All intellectual property, designs, code, and documentation produced by the Mechatronics Engineer during the term of this Purchase Order shall be the exclusive property of the Buyer. The Seller and the Mechatronics Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work in Saudi Arabia Riyadh.
- 4.5 Invoices shall be submitted monthly by the 5th business day for the preceding month. Payment shall be made via bank transfer to the Seller's designated account in Saudi Arabia within thirty (30) days of receipt of a valid VAT invoice.
- 4.6 The Mechatronics Engineer shall comply with all health, safety, and environmental (HSE) regulations applicable to industrial operations in Saudi Arabia Riyadh, including but not limited to the requirements of the Ministry of Human Resources and Social Development and the Saudi Arabian Standards Organization.
- 4.7 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Saudi Arabia Riyadh.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Mechatronics Engineer in Saudi Arabia Riyadh. This Purchase Order constitutes a binding agreement upon execution by both authorized representatives.
