This Purchase Order is issued by Anatolia Industrial Automation Systems A.S. to EuroTech Engineering Solutions Ltd. for the provision of a qualified Mechatronics Engineer to be deployed and performing professional engineering services at the Buyer's manufacturing and automation facility located in the Tuzla Industrial Zone, Turkey Istanbul. The Mechatronics Engineer shall be responsible for the design, integration, commissioning, and ongoing maintenance of robotic assembly lines, programmable logic controller (PLC) systems, industrial sensor networks, and computer-aided manufacturing (CAM) processes within the Buyer's production environment.

The scope of work assigned to the Mechatronics Engineer under this Purchase Order includes, but is not limited to: (a) development of control algorithms for automated production cells; (b) troubleshooting and repair of electromechanical subsystems; (c) implementation of Industry 4.0 connectivity protocols across the factory floor in Turkey Istanbul; (d) preparation of technical documentation, schematics, and operational manuals; (e) supervision of junior technicians during shift operations; and (f) participation in quarterly capital expenditure planning meetings with senior management.

The total contractual value of this Purchase Order for the engagement of the Mechatronics Engineer over the initial twelve-month period is set forth below. All monetary amounts are denominated in Turkish Lira (TRY) and are subject to the prevailing Value Added Tax (VAT) rate of 20% as applicable in Turkey Istanbul.

Invoices shall be submitted by the Supplier on the last business day of each calendar month. Payment shall be processed via bank transfer to the Supplier's designated account within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the statutory rate prescribed by the Turkish Commercial Code.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All terms herein shall be governed by the laws of the Republic of Turkey, with jurisdiction vested in the courts of Turkey Istanbul.
2. The Supplier warrants that the Mechatronics Engineer assigned under this Purchase Order shall possess all qualifications, certifications, and professional competencies as specified in Section 3. Any material misrepresentation of credentials shall entitle the Buyer to terminate this Purchase Order immediately without penalty.
3. The Mechatronics Engineer shall comply with all occupational health and safety regulations enforced by the Ministry of Labor and Social Security of the Republic of Turkey, as well as all site-specific safety protocols at the Buyer's facility in Turkey Istanbul.
4. Confidentiality: The Mechatronics Engineer shall be bound by a non-disclosure agreement covering all proprietary designs, process parameters, client information, and trade secrets encountered during the performance of duties under this Purchase Order. This obligation shall survive termination for a period of three (3) years.
5. Intellectual Property: All work product, designs, code, and documentation created by the Mechatronics Engineer in the course of performing services under this Purchase Order shall be the sole property of the Buyer.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Supplier for services rendered up to the effective date of termination.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Turkey Istanbul.
8. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Istanbul Arbitration Institute (ISTAC).

The Mechatronics Engineer shall report for duty at the Buyer's facility in Turkey Istanbul no later than 01 July 2025. The Supplier shall ensure that all onboarding procedures, including security clearance, site induction, and issuance of access credentials, are completed within the first five (5) business days. The Supplier shall provide a written confirmation of the Mechatronics Engineer's arrival and readiness to commence work within forty-eight (48) hours of the start date.
