This Purchase Order is issued by East African Industrial Solutions Ltd. to Global Mechatronics & Automation Services (GMAS) Ltd. for the engagement of a qualified Mechatronics Engineer to provide comprehensive design, integration, commissioning, and maintenance support for automated manufacturing systems at our production facility located in Uganda Kampala. The Mechatronics Engineer shall be responsible for the end-to-end delivery of mechatronic solutions encompassing mechanical design, electrical control systems, embedded software programming, and pneumatic/hydraulic subsystems. All work shall be executed in strict compliance with Ugandan industrial safety standards, the Uganda National Bureau of Standards (UNBS) regulations, and applicable international engineering codes.

1. This Purchase Order constitutes a binding agreement between East African Industrial Solutions Ltd. and GMAS Ltd. upon countersignature by both parties. All terms are governed by the laws of the Republic of Uganda.
2. The Mechatronics Engineer assigned to this contract must hold a minimum of a Bachelor's degree in Mechatronics Engineering or a closely related discipline, with a minimum of five (5) years of progressive experience in industrial automation projects in East Africa.
3. All deliverables, including design drawings, control schematics, source code, and as-built documentation, shall be submitted to the buyer's Engineering & Automation Division office in Uganda Kampala no later than the dates specified in the project milestone schedule attached as Annex A.
4. Payment shall be made in Ugandan Shillings (UGX) via bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the Uganda Bank of Uganda base rate plus 2% per annum.
5. The Mechatronics Engineer shall comply with all occupational health and safety regulations as enforced by the Uganda Occupational Safety and Health Authority (UOSHA). The supplier shall provide all necessary personal protective equipment (PPE) and site induction training prior to commencing work at the Kampala facility.
6. Any variation or change order to the scope of this Purchase Order must be agreed in writing by both parties before additional work is undertaken. Unauthorized variations shall not be eligible for payment.
7. The supplier warrants that all services rendered by the Mechatronics Engineer shall be free from defects in design, workmanship, and materials for a period of twelve (12) months from the date of final acceptance.
8. Confidentiality: All proprietary information, trade secrets, and technical data exchanged under this Purchase Order shall remain the exclusive property of the disclosing party and shall not be disclosed to third parties without prior written consent.
9. Disputes arising from this Purchase Order shall be resolved through mediation in Kampala, Uganda, and failing that, through arbitration under the Uganda Arbitration Act, 2000.
10. This Purchase Order is valid for acceptance within thirty (30) days from the date of issue. Failure to accept within this period shall render this document null and void.

All on-site activities, including installation, commissioning, and testing, shall be conducted at the buyer's manufacturing plant located at Plot 17, Industrial Area, Uganda Kampala. The Mechatronics Engineer and any supporting technicians shall report to the site office at 07:30 EAT on each working day. Site access permits shall be issued by the buyer's Security Department upon presentation of valid national identification. The supplier is responsible for all transportation, accommodation, and per diem costs for personnel deployed to the Uganda Kampala site.
