This Purchase Order is issued by Thames Valley Industrial Systems Ltd. to Apex Mechatronics Consultancy Group Ltd. for the engagement of a qualified Mechatronics Engineer to provide specialised technical services at the buyer's operational facility located in United Kingdom London. The Mechatronics Engineer shall be responsible for the design, integration, testing, and commissioning of automated production systems combining mechanical, electrical, and software engineering disciplines.

The Mechatronics Engineer engaged under this Purchase Order shall operate within the buyer's manufacturing premises situated at 42 Regent Street, London W1B 5AH, United Kingdom London. The engineer must hold a minimum of a BEng/MEng in Mechatronics, Mechanical, or Electrical Engineering, with a minimum of eight (8) years of progressive post-qualification experience in industrial automation, robotics, and control systems. Professional membership of the Institution of Engineering and Technology (IET) or the Institution of Mechanical Engineers (IMechE) is required.

The Mechatronics Engineer shall be responsible for the following core activities:

(a) Designing and developing integrated mechatronic systems that combine mechanical actuators, electrical control circuits, and embedded software to achieve the specified production throughput of 1,200 units per hour;

(b) Programming, configuring, and troubleshooting Programmable Logic Controllers (PLCs), Distributed Control Systems (DCS), and Human-Machine Interfaces (HMIs) in accordance with IEC 61131-3 standards;

(c) Integrating industrial robotic cells, conveyor systems, vision inspection modules, and pneumatic/hydraulic actuation systems into a unified automated production line;

(d) Conducting Factory Acceptance Testing (FAT) and Site Acceptance Testing (SAT) at the United Kingdom London facility, ensuring all systems meet the performance criteria outlined in the project specification;

(e) Producing comprehensive technical documentation, including P&ID drawings, electrical schematics, software architecture diagrams, and operational maintenance manuals;

(f) Providing on-site training to the buyer's operations and maintenance teams, ensuring knowledge transfer and operational independence upon project completion.

The Mechatronics Engineer shall commence duties no later than 1 September 2025 at the buyer's facility in United Kingdom London. The initial design and architecture phase shall be completed by 30 November 2025. Full system integration and commissioning shall be achieved by 28 February 2026. All deliverables must be submitted to the buyer's Project Management Office in electronic format (PDF and native CAD/PLC files) within five (5) working days of completion.

Payment against this Purchase Order shall be made in accordance with the following milestone schedule:

(a) 25% upon execution of this Purchase Order and confirmation of the Mechatronics Engineer's start date;

(b) 35% upon successful completion of the design and architecture phase and submission of all design documentation;

(c) 30% upon successful completion of Site Acceptance Testing (SAT) at the United Kingdom London facility;

(d) 10% upon final handover, including all as-built documentation, training completion certificates, and warranty commencement.

All invoices shall be submitted to the buyer's Accounts Payable department and shall be paid within thirty (30) calendar days of receipt of a valid invoice. Late payment shall attract interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

(a) This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.

(b) The Mechatronics Engineer shall comply with all applicable UK health and safety legislation, including the Health and Safety at Work etc. Act 1974, the Management of Health and Safety at Work Regulations 1999, and the Electricity at Work Regulations 1989, while working on the buyer's premises in United Kingdom London.

(c) The supplier warrants that the Mechatronics Engineer shall be fully competent, appropriately qualified, and insured for the duration of the engagement. Professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000 shall be maintained throughout the contract period.

(d) All intellectual property created specifically for the buyer under this Purchase Order shall vest in the buyer upon full payment. The supplier retains ownership of pre-existing tools, methodologies, and generic software libraries.

(e) The supplier shall not subcontract any portion of the Mechatronics Engineer engagement without the prior written consent of the buyer.

(f) Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of a material breach that remains uncured after a further fourteen (14) days' written notice.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Mechatronics Engineer at the United Kingdom London facility.
