This Purchase Order is issued by Apex Industrial Solutions, Inc. (hereinafter referred to as "the Buyer") to Precision Mechatronics Consulting Group LLC (hereinafter referred to as "the Vendor") for the engagement of a qualified Mechatronics Engineer to provide specialized design, integration, and commissioning services for an automated manufacturing line located in United States Chicago. The Mechatronics Engineer shall be responsible for the end-to-end development of electromechanical systems, programmable logic controller (PLC) programming, industrial robotics integration, and sensor network configuration for the Buyer's production facility situated at 1450 W. Fulton Market, United States Chicago, IL 60607.

The Mechatronics Engineer engaged under this Purchase Order shall perform the following duties and deliverables within the United States Chicago metropolitan area:

• Design and development of integrated electromechanical assemblies combining mechanical, electrical, and software components for the Buyer's assembly line.
• Programming and configuration of Siemens S7-1500 and Allen-Bradley ControlLogix PLC systems for automated process control.
• Integration of KUKA and FANUC industrial robotic arms with conveyor systems and vision-based quality inspection stations.
• Design and implementation of industrial IoT sensor networks for real-time monitoring of equipment health and production metrics.
• Development of HMI (Human-Machine Interface) dashboards and SCADA supervisory control systems.
• Conducting on-site commissioning, testing, and troubleshooting at the Buyer's facility in United States Chicago.
• Preparation of comprehensive technical documentation, including P&IDs, electrical schematics, wiring diagrams, and as-built drawings.
• Training of Buyer's in-house maintenance staff on system operation and basic troubleshooting procedures.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Vendor upon signature by both parties. All services shall be performed in compliance with applicable federal, Illinois state, and United States Chicago municipal regulations governing industrial engineering and electrical work.
2. The Mechatronics Engineer assigned to this project must hold a valid Professional Engineer (PE) license in the State of Illinois and possess a minimum of ten (10) years of experience in mechatronic system design and industrial automation.
3. All work shall be performed at the Buyer's facility located in United States Chicago, IL, unless otherwise agreed in writing. The Vendor shall ensure the Mechatronics Engineer adheres to all site safety protocols, including OSHA compliance requirements.
4. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices shall reference this Purchase Order number (PO-2025-CH-04872) and shall be submitted to the Buyer's Accounts Payable department in United States Chicago.
5. The Vendor warrants that all deliverables produced by the Mechatronics Engineer shall be free from defects in design and workmanship for a period of twelve (12) months from the date of final acceptance.
6. Any changes to the scope of work, schedule, or pricing must be documented in a formal Change Order signed by authorized representatives of both parties. No additional charges will be accepted without prior written approval under this Purchase Order.
7. The Vendor shall maintain comprehensive general liability insurance with a minimum coverage of $2,000,000 per occurrence and professional liability (errors and omissions) insurance of $1,000,000, naming the Buyer as an additional insured.
8. All intellectual property, designs, code, and documentation created specifically for the Buyer under this Purchase Order shall become the sole property of the Buyer upon full payment.
9. This agreement shall be governed by the laws of the State of Illinois, and any disputes shall be resolved through binding arbitration in Cook County, United States Chicago, in accordance with the rules of the American Arbitration Association.
10. The Vendor shall comply with all applicable Equal Employment Opportunity (EEO) and non-discrimination laws in the hiring and assignment of the Mechatronics Engineer and any supporting personnel.
