This Purchase Order is issued by Apex Industrial Automation Corp. to formally engage the services of a qualified Mechatronics Engineer through Meridian Technical Consulting LLC. The Mechatronics Engineer shall be responsible for the design, integration, testing, and commissioning of advanced electromechanical systems at the buyer's manufacturing facility located in United States New York City. The scope of work encompasses the development of robotic assembly lines, programmable logic controller (PLC) programming, sensor network architecture, and the integration of industrial IoT (IIoT) platforms. The Mechatronics Engineer must hold a minimum of a Bachelor's degree in Mechatronics Engineering, Mechanical Engineering, or Electrical Engineering, with a minimum of eight (8) years of progressive experience in industrial automation systems. All work shall be performed in compliance with applicable New York State labor regulations, OSHA safety standards, and the local building and electrical codes governing the United States New York City jurisdiction.

- This Purchase Order constitutes a binding agreement between Apex Industrial Automation Corp. and Meridian Technical Consulting LLC for the provision of Mechatronics Engineer services. All terms herein shall be governed by the laws of the State of New York and the municipal regulations of United States New York City.
- The Mechatronics Engineer assigned to this Purchase Order must maintain all professional engineering licenses and certifications required by the New York State Board of Professional Engineers and Land Surveyors. Proof of licensure shall be provided prior to commencing work.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-04871) and shall be submitted to the accounts payable department at Apex Industrial Automation Corp., 1420 Broadway, United States New York City, NY 10018.
- The Mechatronics Engineer shall adhere to all safety protocols established by OSHA and the New York City Department of Buildings. Any violation of safety regulations may result in immediate suspension of services under this Purchase Order.
- Meridian Technical Consulting LLC shall maintain comprehensive general liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 aggregate, as well as professional liability (errors and omissions) insurance of $1,000,000, naming Apex Industrial Automation Corp. as an additional insured.
- All intellectual property, designs, schematics, and documentation created by the Mechatronics Engineer in the course of fulfilling this Purchase Order shall become the sole property of Apex Industrial Automation Corp. upon full payment.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Mechatronics Engineer shall complete all work in progress and deliver all associated documentation to the buyer's facility in United States New York City.
- Disputes arising from this Purchase Order shall be resolved through binding arbitration in New York County, United States New York City, in accordance with the rules of the American Arbitration Association.
- This Purchase Order is valid for a period of twelve (12) months from the date of issue. Any modifications or amendments must be made in writing and signed by authorized representatives of both parties.
