4.1 Place of Performance: All services under this Purchase Order shall be rendered at the Buyer's premises located at 42 Amir Temur Avenue, Tashkent, Uzbekistan, unless otherwise agreed in writing. The Mechatronics Engineer shall comply with all local labor regulations, safety standards, and industrial codes applicable in Uzbekistan Tashkent as mandated by the Ministry of Industry and Innovation of the Republic of Uzbekistan.

4.2 Commencement and Duration: The engagement of the Mechatronics Engineer shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, subject to renewal by mutual written consent. The Purchase Order shall remain in full force and effect until all deliverables have been accepted and all payment obligations have been satisfied.

4.3 Payment Terms: Payment shall be made in Uzbekistan Som (UZS) via bank transfer to the Supplier's designated account. Invoices shall be submitted monthly by the 5th business day. The Buyer shall settle all undisputed invoices within thirty (30) calendar days of receipt. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under the Civil Code of the Republic of Uzbekistan.

4.4 Qualification Requirements: The Mechatronics Engineer assigned to this Purchase Order must hold a minimum of a Master's degree in Mechatronics, Mechanical Engineering, or an equivalent discipline, with no fewer than eight (8) years of progressive experience in industrial automation. The Engineer must demonstrate proficiency in Siemens TIA Portal, Allen-Bradley Studio 5000, and at least one major industrial robotics platform (FANUC, KUKA, or ABB). A valid professional license recognized by the Uzbekistan Chamber of Commerce and Industry shall be required prior to commencement of work in Uzbekistan Tashkent.

4.5 Intellectual Property: All designs, programs, schematics, and technical documentation produced by the Mechatronics Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer. The Supplier warrants that all deliverables are original and do not infringe upon any third-party intellectual property rights.

4.6 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data exchanged in connection with this Purchase Order. This obligation shall survive the termination of the agreement for a period of five (5) years.

4.7 Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination.

4.8 Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any disputes arising from or in connection with this Purchase Order shall be resolved through the Arbitration Center at the Chamber of Commerce and Industry of the Republic of Uzbekistan, seated in Tashkent. The language of arbitration shall be English.

4.9 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Uzbekistan Tashkent.
