This Purchase Order is issued by Industrial Automation & Engineering Solutions C.A. (hereinafter referred to as the "Buyer") to TechMech Solutions International S.A. (hereinafter referred to as the "Vendor") for the professional services of a qualified Mechatronics Engineer to be deployed at the Buyer's manufacturing facility located in the industrial zone of Venezuela Caracas. The Mechatronics Engineer shall be responsible for the design, implementation, commissioning, and ongoing maintenance of integrated mechatronic systems combining mechanical, electrical, and software engineering disciplines within the Buyer's production lines.

The scope of work for the Mechatronics Engineer includes, but is not limited to: the development of automated control systems using PLCs and SCADA architectures; the integration of robotic arms and pneumatic actuators into existing assembly lines; the programming and calibration of servo drives and variable frequency drives; the design of custom sensor arrays for real-time process monitoring; the troubleshooting and resolution of electromechanical failures; and the preparation of technical documentation in accordance with Venezuelan industrial standards (COVENIN) and international ISO 9001 quality management requirements. The Mechatronics Engineer must hold a minimum of a Bachelor's degree in Mechatronics Engineering or a closely related field from an accredited Venezuelan university, with a minimum of five (5) years of progressive experience in industrial automation environments.

4.1 Payment Terms: Payment for this Purchase Order shall be made in the following installments: thirty percent (30%) upon execution of this Purchase Order and confirmation of the Mechatronics Engineer's arrival at the Venezuela Caracas facility; forty percent (40%) upon successful commissioning and acceptance of the mechatronic systems; and the remaining thirty percent (30%) shall be paid in equal monthly installments over the twelve-month maintenance retainer period. All payments shall be made via wire transfer to the Vendor's designated bank account in the United States Dollar (USD) or its equivalent in Venezuelan Bolívares Fuertes (VES) at the BCV official exchange rate on the date of payment.

4.2 Delivery / Commencement: The Mechatronics Engineer shall report to the Buyer's facility in Venezuela Caracas no later than July 1, 2025. The initial design and implementation phase shall be completed within ninety (90) calendar days from the commencement date. The Vendor guarantees that the Mechatronics Engineer assigned to this Purchase Order shall possess all necessary professional licenses and certifications valid in Venezuela.

4.3 Performance Standards: The Mechatronics Engineer shall adhere to all applicable Venezuelan labor regulations, occupational health and safety standards (Ley Orgánica de Prevención, Condiciones y Medio Ambiente de Trabajo), and the specific technical specifications outlined in Annex A of this Purchase Order. All deliverables must meet the quality benchmarks established by the Buyer's internal engineering department.

4.4 Intellectual Property: All designs, programs, schematics, and technical documentation produced by the Mechatronics Engineer in the course of fulfilling this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Vendor retains the right to use general methodologies and non-proprietary techniques in other engagements.

4.5 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall compensate the Vendor for all services rendered up to the termination date. In the event of termination for cause (material breach), the terminating party shall provide a written statement of the specific breach and a fifteen (15) day cure period.

4.6 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Venezuela Caracas in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.

4.7 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, government sanctions, power outages affecting the Venezuela Caracas metropolitan area, or civil unrest.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Mechatronics Engineer at the Venezuela Caracas facility. This document constitutes a binding agreement between the Buyer and the Vendor effective from the date of the last signature.
