- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All terms are governed by the laws of the Kingdom of Belgium, with jurisdiction vested in the courts of Belgium Brussels.
- Delivery of all goods and services shall be made to the Buyer's laboratory facilities located at Avenue Eudore Dechamps 1200, 1000 Belgium Brussels. The Supplier is responsible for all transportation, insurance, and risk of loss until goods are received and inspected at the designated location.
- All equipment must arrive fully calibrated, CE-marked, and accompanied by the original manufacturer's warranty documentation. The Medical Researcher reserves the right to reject any item that does not meet the specifications outlined in this Purchase Order or that fails to comply with Belgian and EU safety regulations.
- Payment shall be made via bank transfer to the Supplier's designated account within Belgium Brussels within forty-five (45) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by the Belgian Law of 2 August 2002 on late payment in commercial transactions.
- The Supplier warrants that all reagents, kits, and consumables are fit for the intended research purpose and have not exceeded their shelf life. Any batch found to be expired or compromised upon delivery shall be replaced at the Supplier's sole expense within ten (10) business days.
- Confidentiality: The Supplier acknowledges that the Medical Researcher is handling sensitive human biological data collected under the Belgian Act of 8 December 1992 on the Protection of Privacy and the EU General Data Protection Regulation (GDPR). No information regarding the research subject, sample provenance, or study design shall be disclosed to any third party.
- Warranty: All capital equipment carries a minimum two-year manufacturer's warranty from the date of installation in Belgium Brussels. The annual maintenance contract (Item 07) extends comprehensive coverage for the first twelve months of operation.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-imposed restrictions within Belgium Brussels or the European Union.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the competent commercial court in Belgium Brussels.
- This Purchase Order may only be amended in writing, signed by both parties. Verbal modifications are not valid under Belgian commercial law.
Items 01, 02, 03, and 06 (capital equipment) shall be delivered and installed no later than 15 July 2025. Items 04, 05, and 09 (reagents and consumables) shall be delivered in two equal shipments: the first by 20 July 2025 and the second by 20 September 2025. The on-site training (Item 08) shall be scheduled within the first two weeks following equipment installation, at a date mutually agreed upon by the Medical Researcher and the Supplier's technical team. All deliveries are to be made during standard business hours (08:00–17:00 CET) at the Belgium Brussels facility, with prior 48-hour written notice to the Buyer's logistics coordinator.
