This Purchase Order is issued to procure specialized laboratory equipment, reagents, and software licenses required for the ongoing work of the Medical Researcher team operating out of the Canada Vancouver research facility. All items are to be delivered to the address specified in Section 1 unless otherwise noted.

All items listed in this Purchase Order shall be delivered to the Pacific Northwest Institute for Advanced Medical Sciences facility located at 1200 West Pender Street, Canada Vancouver, BC V6G 2A9. Delivery is expected no later than August 15, 2025. The supplier is responsible for all freight, handling, and on-site installation of capital equipment (Items 01, 02, 03, 06, and 07). Installation must be completed and verified by the designated Medical Researcher team lead prior to acceptance. The supplier shall provide a minimum of 48 hours' written notice before delivery to the Canada Vancouver site.

Payment for this Purchase Order shall be made in accordance with the following schedule:

• 50% deposit ($99,246.00 CAD) due upon execution of this Purchase Order, payable within 10 business days via electronic funds transfer (EFT) to the supplier's designated account.
• 45% balance ($89,321.40 CAD) due upon confirmed delivery and successful installation at the Canada Vancouver facility, payable within 30 days of the invoice date.
• 5% retention ($9,924.60 CAD) due 90 days after final acceptance, contingent upon a satisfactory 60-day performance warranty period for all capital equipment.

All payments are denominated in Canadian Dollars (CAD). Late payments shall accrue interest at the rate of 1.5% per month, in compliance with the British Columbia Payment for Construction Work Act and applicable federal procurement regulations.

• This Purchase Order is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in Canada Vancouver.
• All equipment must comply with Health Canada regulatory standards and the Canadian Food and Drug Act where applicable to the Medical Researcher's operational protocols.
• The supplier warrants that all goods are new, unused, and free from defects in materials and workmanship for a period of no less than 24 months from the date of installation.
• The Medical Researcher team at the Canada Vancouver facility reserves the right to inspect and test all delivered items within 14 business days of receipt. Any non-conforming items must be replaced or repaired at the supplier's sole expense within 10 business days.
• The supplier shall maintain full insurance coverage, including general liability and product liability, for the duration of this Purchase Order and the warranty period.
• Confidentiality: All data, protocols, and research methodologies associated with the Medical Researcher's work in Canada Vancouver are classified as proprietary. The supplier agrees to sign a Non-Disclosure Agreement (NDA) prior to on-site installation.
• This Purchase Order may not be assigned or subcontracted without prior written consent from the Buyer.
• Disputes arising from this Purchase Order shall be resolved through mediation in Canada Vancouver, BC, before proceeding to arbitration under the rules of the British Columbia Arbitration Institute.

This Purchase Order is authorized and approved for execution by the undersigned. By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this document for the procurement of goods and services in support of the Medical Researcher program in Canada Vancouver.
