TERMS AND CONDITIONS

Scope of Purchase Order: This Purchase Order is issued by the Shanghai Institute of Biomedical Sciences & Advanced Research to procure specialized laboratory equipment, reagents, software, and professional services required to support the ongoing research programme led by Dr. Wei Zhang, Senior Medical Researcher, and his team of twelve (12) postdoctoral fellows and graduate students in the Molecular Oncology & Genomics Department.
Delivery Location: All physical goods shall be delivered DDP (Delivered Duty Paid) to the receiving laboratory at No. 200 Fuxing Road, Xuhui District, China Shanghai. The supplier is responsible for all international shipping, customs clearance in China Shanghai, import duties, and final-mile delivery to the designated floor and room within the research building.
Delivery Schedule: Items marked for July 2025 delivery must arrive no later than 31 July 2025. Items marked for August 2025 must arrive no later than 29 August 2025. The installation and training service (Item 9) shall be completed by 30 September 2025. Failure to meet these deadlines will result in a penalty of 0.5% of the affected line-item value per calendar day of delay, capped at 10%.
Payment Terms: Payment shall be made within forty-five (45) calendar days from the date of receipt of a valid commercial invoice and proof of delivery at the China Shanghai facility. Payment will be executed via bank transfer to the supplier's designated account. The buyer reserves the right to withhold 10% of the total Purchase Order value until final acceptance and successful completion of the on-site training programme.
Quality & Compliance: All equipment must comply with the relevant standards of the State Administration for Market Regulation (SAMR) of the People's Republic of China and the National Medical Products Administration (NMPA) where applicable. The supplier shall provide CE certificates, ISO 13485 certification, and all necessary import documentation for China Shanghai customs. Reagents must carry valid Chinese import permits and MSDS sheets in both English and Mandarin Chinese.
Warranty & Support: All capital equipment carries a minimum 24-month manufacturer's warranty from the date of installation acceptance in China Shanghai. The 3-year extended warranty (Item 10) includes quarterly preventive maintenance visits, 24/7 remote technical support, and on-site response within 48 hours for critical failures. The Medical Researcher team shall have priority access to the supplier's application scientists for protocol optimization.
Intellectual Property & Data: All data generated using the procured equipment belongs exclusively to the buyer. The supplier shall not access, store, or transmit any research data from the China Shanghai facility without prior written consent from the Principal Investigator (Medical Researcher Dr. Wei Zhang).
Force Majeure: Neither party shall be liable for delays caused by acts of God, government sanctions, pandemic-related restrictions, or changes in China Shanghai import/export regulations beyond the reasonable control of the affected party.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in China Shanghai.
Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements are not binding.

NOTE: This Purchase Order has been reviewed and approved by the Research Ethics Committee of the Shanghai Institute of Biomedical Sciences. All procurement activities are conducted in accordance with the National Natural Science Foundation of China (NSFC) grant No. 82330120 and the Shanghai Municipal Science and Technology Commission project No. 23JC14056. The Medical Researcher responsible for this procurement, Dr. Wei Zhang, confirms that all items listed are essential for the approved research protocol and that no conflicts of interest exist.
