- This Purchase Order is issued by the Frankfurt Institute for Advanced Medical Research (FIAMR) and is binding upon written acceptance by the vendor. All goods and services shall be delivered to the specified address in Germany Frankfurt as stated above.
- The Medical Researcher, Dr. Helena Voss, and her designated laboratory team shall be the primary end-users of all equipment and reagents procured under this Purchase Order. The vendor acknowledges that the items are intended for peer-reviewed biomedical research conducted under the ethical oversight of the Frankfurt Ethics Committee (Ethikkommission Frankfurt, Ref. EK-2025-114).
- All equipment must comply with the European Union Medical Device Regulation (EU) 2017/745 where applicable, and must carry valid CE marking. Reagents and consumables must be supplied with certificates of analysis (CoA) and lot traceability documentation.
- Delivery shall be made DDP (Delivered Duty Paid) to the FIAMR Laboratory Complex in Germany Frankfurt. The vendor is responsible for all transportation, insurance, customs clearance, and installation within the designated laboratory space. Installation and commissioning must be completed no later than 28 July 2025.
- The Medical Researcher team will conduct a formal acceptance inspection within five (5) business days of installation. Any non-conforming items must be replaced or repaired at the vendor’s sole expense within ten (10) business days of written notice.
- Payment shall be made via SEPA bank transfer to the vendor’s designated account within thirty (30) calendar days of receipt of a correct and complete invoice. Late payments shall accrue interest at the statutory rate under German commercial law (BGB §288).
- The vendor warrants that all goods are free from defects in material and workmanship for a period of twenty-four (24) months from the date of acceptance. The annual maintenance contract (Item 10) includes on-site service calls within Germany Frankfurt within 48 hours of a service request.
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- The vendor shall maintain full confidentiality regarding the research protocols, sample data, and any proprietary methods employed by the Medical Researcher team. No information derived from this Purchase Order or the associated research shall be disclosed to third parties without prior written consent from FIAMR.
- Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Germany Frankfurt, shall extend delivery deadlines on a day-for-day basis, provided the affected party notifies the other in writing within five (5) business days.

All capital equipment (Items 1, 2, 3, 4, 7, and 8) must be delivered to the ground-floor loading dock of Building C at the Goethe University Campus in Germany Frankfurt. A forklift and two-person handling team will be available on site between 08:00 and 16:00 CET on the scheduled delivery date. The vendor must coordinate the exact delivery window with the Lab Logistics Coordinator at least 48 hours in advance. The Medical Researcher team requires a minimum of two (2) weeks of lead time between installation and the start of the funded research protocol (EU Horizon Europe Grant No. 101054321) to complete method validation and quality assurance procedures.
