This Purchase Order is subject to the GST registration and compliance of both parties as mandated by the Government of India. Terms and Conditions

1. Delivery Location: All items shall be delivered to the Apex Biomedical Research Institute laboratory premises located at Plot No. 42, Sector 62, Noida Extension, New Delhi – 110092, India. The supplier shall coordinate delivery with the designated Medical Researcher, Dr. Ananya Sharma, or her authorized laboratory manager.
2. Delivery Timeline: The supplier shall deliver all items within thirty (30) calendar days from the date of acceptance of this Purchase Order. Delayed delivery beyond the stipulated period shall attract a penalty of 0.5% of the delayed item's value per day, up to a maximum of 10%.
3. Quality Assurance: All equipment and reagents must comply with the Bureau of Indian Standards (BIS) and, where applicable, ISO 9001:2015 and ISO 13485:2016 certifications. The Medical Researcher's team shall conduct a receiving inspection within five (5) working days of delivery. Any non-conforming items shall be replaced at the supplier's sole cost.
4. Payment Terms: Payment shall be made via National Electronic Funds Transfer (NEFT) or Real-Time Gross Settlement (RTGS) to the supplier's designated bank account within forty-five (45) days from the date of receipt of a valid GST tax invoice and satisfactory delivery confirmation. No advance payment shall be made under this Purchase Order.
5. Warranty: All capital equipment (HPLC System, Flow Cytometer, Ultracentrifuge, PCR Cycler) shall carry a minimum manufacturer's warranty of twenty-four (24) months from the date of installation and commissioning. Consumables and reagents shall be delivered with a minimum shelf life of twelve (12) months from the date of delivery.
6. Installation and Training: The supplier shall provide on-site installation, calibration, and commissioning of all capital equipment at the New Delhi facility. Additionally, the supplier shall conduct a minimum of two (2) full-day training sessions for the Medical Researcher and her team of six (6) research associates on the operation, maintenance, and troubleshooting of the delivered instruments.
7. Intellectual Property and Confidentiality: The supplier acknowledges that the items procured under this Purchase Order are intended for use in a classified medical research programme. The supplier shall not disclose the nature, scope, or funding source of the research to any third party without prior written consent from the Director, Apex Biomedical Research Institute.
8. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India. Arbitration, if required, shall be conducted in New Delhi in accordance with the Arbitration and Conciliation Act, 1996.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, epidemics, or civil unrest in India New Delhi or elsewhere in India.
10. Amendments: No modification, amendment, or cancellation of this Purchase Order shall be valid unless made in writing and signed by the authorized representatives of both parties.

Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. This document constitutes a binding commercial agreement between the Buyer and the Supplier for the procurement of goods and services as described herein.
