Terms and Conditions of this Purchase Order

1. This Purchase Order is issued exclusively for the procurement of medical research equipment and supplies in support of the Medical Researcher, Dr. Farhad Rahmani, and his research team at the Tehran University of Medical Sciences, located in Tehran, Iran. All deliveries must be made to the designated laboratory facility in Tehran unless otherwise specified in writing.
2. The Seller warrants that all items listed in this Purchase Order are new, unused, and free from defects. All medical research instruments must carry valid ISO 13485 certification and must be approved for use in clinical research settings within Iran by the Iranian Food and Drug Administration (IFDA).
3. Delivery of all items shall be completed no later than 30 July 2025 at the receiving laboratory in Tehran, Iran. The Seller is responsible for all packaging, crating, and freight forwarding to the Tehran delivery address. Risk of loss transfers to the Buyer upon signed delivery receipt at the Tehran facility.
4. Payment shall be made within forty-five (45) calendar days of the date of this Purchase Order via bank transfer to the account designated by the Seller. Given the international financial regulations applicable to Iran, payment shall be processed through an approved Iranian banking channel in accordance with the Central Bank of Iran guidelines. The Medical Researcher's departmental finance office will coordinate the disbursement.
5. The Seller shall provide a comprehensive installation and calibration service for all major equipment at the Tehran laboratory site. A minimum of two (2) full days of hands-on training shall be conducted for the Medical Researcher and up to four (4) additional laboratory personnel to ensure proper operation and maintenance of the procured instruments.
6. All equipment shall carry a minimum two-year manufacturer warranty covering parts and labor. Warranty service must be accessible within Tehran, Iran, with a maximum response time of seventy-two (72) hours for critical equipment failures that could disrupt ongoing medical research protocols.
7. The Seller acknowledges that the procured items are intended for academic and clinical medical research purposes only. The Seller shall not use this Purchase Order or any associated documentation for any commercial or non-research application. All data generated using the procured equipment remains the intellectual property of the Medical Researcher and the Tehran University of Medical Sciences.
8. In the event of non-conforming or damaged goods upon delivery in Tehran, the Buyer shall notify the Seller within five (5) business days. The Seller shall replace or repair the affected items at no additional cost to the Buyer within fifteen (15) business days of notification.
9. This Purchase Order is governed by the commercial laws of the Islamic Republic of Iran. Any disputes arising from this Purchase Order shall be resolved through arbitration in Tehran, Iran, in accordance with the rules of the Tehran International Arbitration Center.
10. This Purchase Order becomes effective upon signature by both parties. No modification or amendment to this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both the Buyer and the Seller.
