All items listed in this Purchase Order shall be delivered to the Kyoto Institute of Advanced Medical Sciences, Building C, 3rd Floor, 78-2 Shogoin-Kawaramachi-cho, Sakyo-ku, Japan Kyoto. The supplier is responsible for the safe transport, calibration, and on-site installation of all major equipment. Installation must be completed no later than 05 August 2025 to ensure the Medical Researcher can commence the Phase II clinical correlation study without delay. The supplier shall provide a minimum of 48 hours' written notice prior to delivery to the Japan Kyoto receiving dock. All equipment must comply with the Japanese Ministry of Health, Labour and Welfare (MHLW) regulatory standards and carry valid CE and JQA certifications.
1. This Purchase Order constitutes a binding agreement between the Kyoto Institute of Advanced Medical Sciences and MedTech Precision Instruments Co., Ltd. upon signature by both parties.
2. The Medical Researcher, Dr. Haruki Tanaka, is the designated technical authority for all equipment specifications and shall conduct the final acceptance inspection upon installation in the Japan Kyoto laboratory.
3. All equipment carries a minimum 24-month warranty from the date of acceptance. The supplier shall provide on-site repair service within 72 hours of a reported malfunction.
4. Payment shall be made via bank transfer to the supplier's designated account in Japan Kyoto within 45 calendar days of receipt of a valid invoice. Late payments shall incur a penalty of 1.5% per month.
5. The supplier warrants that all reagents and consumables are free from contamination and meet the purity specifications required for the Medical Researcher's peer-reviewed publication pipeline.
6. In the event of non-conforming goods, the supplier shall replace the affected items at no additional cost within 14 business days. Repeated non-conformance (two or more instances) shall entitle the buyer to terminate this Purchase Order in full.
7. All intellectual property generated through the use of the procured equipment by the Medical Researcher remains the sole property of the Kyoto Institute of Advanced Medical Sciences.
8. This Purchase Order is governed by the laws of Japan. Any disputes shall be resolved through arbitration in the Japan Kyoto District Court.
NOTE: This Purchase Order supports the Medical Researcher's grant-funded project (JSPS KAKENHI Grant No. 25H03412) investigating novel biomarkers in hepatocellular carcinoma. All expenditures under this Purchase Order must be submitted to the Japan Kyoto finance office for audit within 30 days of the delivery date.
