- 1. Scope of Purchase: This Purchase Order is issued by the Instituto de Investigación Médica de Barcelona (IIMB) to procure laboratory equipment, reagents, software, and professional services specifically required by the Medical Researcher, Dr. Elena Marchetti, PhD, for the ongoing research project "Neurodegenerative Pathways and Regenerative Therapies" (Ref: MR-BCN-2025-NEURO-012) conducted in Spain Barcelona.
- 2. Delivery: All items shall be delivered to the IIMB facility located at Av. Diagonal 647, 08028 Barcelona, Spain. Delivery shall be made in accordance with the DDP (Delivered Duty Paid) Incoterm specified for each line item. The supplier is responsible for all transportation, insurance, customs clearance, and local delivery within Spain Barcelona.
- 3. Acceptance and Inspection: Upon delivery, the Medical Researcher and designated laboratory staff shall inspect all equipment and materials within ten (10) business days. Any discrepancies, damage, or non-conformity must be reported in writing to the supplier within this period. Acceptance does not waive latent defect claims under Spanish commercial law (Código de Comercio).
- 4. Payment: Payment shall be made by bank transfer to the supplier's designated account within forty-five (45) calendar days from the date of the valid invoice, provided that all goods and services have been accepted. The invoice must reference this Purchase Order number (PO-IIMB-2025-04871) and include the supplier's VAT number. Late payments shall accrue interest at the rate established by Spanish Royal Decree 4/2013 on late payment in commercial transactions.
- 5. Warranty: All capital equipment shall carry a minimum manufacturer's warranty of twenty-four (24) months from the date of installation and acceptance. The Medical Researcher's laboratory shall be covered under the three-year preventive maintenance contract (Line Item 10) for scheduled servicing, parts, and labor.
- 6. Regulatory Compliance: All equipment and reagents must comply with applicable European Union directives, including the In Vitro Diagnostic Medical Devices Regulation (EU) 2017/746 where applicable, and Spanish national regulations governing laboratory safety and medical research conducted in Spain Barcelona. The supplier warrants that all items are CE-marked and meet the relevant Spanish and EU standards.
- 7. Intellectual Property and Data: All data generated by the Medical Researcher using the procured equipment remains the exclusive property of IIMB. The supplier shall not claim any rights over research outputs, publications, or proprietary methodologies developed in the course of the project.
- 8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, government sanctions, or supply chain disruptions, provided that the affected party notifies the other in writing within five (5) business days.
- 9. Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of the Kingdom of Spain. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
- 10. Confidentiality: Both parties agree to maintain strict confidentiality regarding the research objectives, methodologies, and any proprietary information shared in connection with this Purchase Order. This obligation survives termination of the agreement for a period of five (5) years.
