1. Purpose of Purchase: This Purchase Order is issued to procure specialized laboratory equipment, reagents, and safety materials required by Dr. Elena Vasquez, a Medical Researcher at the Houston Advanced Medical Research Institute, to conduct ongoing clinical and molecular research on cardiovascular disease biomarkers. All items listed herein are essential to the continued operation of the Medical Researcher's laboratory program in United States Houston.
2. Delivery: All items shall be delivered to the HAMRI facility at 4500 Research Parkway, Suite 300, United States Houston, TX 77030. Delivery windows are as specified in the line-item table. The supplier is responsible for all freight, insurance, and installation costs within the United States Houston metropolitan area. Any delay exceeding five (5) business days beyond the stated delivery date shall entitle the buyer to a 2% per diem penalty on the affected line item.
3. Payment: Payment shall be made via wire transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid invoice and confirmed delivery of all goods. The Medical Researcher's departmental budget code (MR-2025-CVD-044) shall be referenced on all invoices. No payment shall be released until all equipment has been installed, calibrated, and accepted in writing by the Medical Researcher or her designated lab manager.
4. Warranty: All equipment shall carry a minimum of a two (2) year manufacturer's warranty covering parts and labor. Reagent kits shall be guaranteed to have a minimum of six (6) months remaining shelf life at the time of delivery. The supplier shall provide full technical support and replacement parts for the duration of the warranty period.
5. Compliance: All products must comply with applicable United States federal regulations, including but not limited to FDA guidelines for laboratory equipment, OSHA safety standards, and Texas state environmental regulations governing biomedical waste. The supplier warrants that all items are new, unused, and free from defects.
6. Cancellation: This Purchase Order may be cancelled in whole or in part by the buyer with written notice prior to the supplier's confirmation of manufacturing or shipment. Cancellation after shipment confirmation shall be subject to a 15% restocking fee on affected items.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Houston, Texas, in accordance with the rules of the American Arbitration Association.
NOTE: This Purchase Order is specifically designated for the Medical Researcher's cardiovascular biomarker study (Grant No. NIH-R01-HL-2025-0881). All expenditures under this Purchase Order must be coded to the specified grant for federal audit compliance.
