This Purchase Order governs all terms, conditions, deliverables, and financial arrangements related to the engagement of the Medical Researcher within the jurisdiction of Vietnam Ho Chi Minh City. The scope of this Purchase Order encompasses the full lifecycle of the research engagement, from initial data collection through to final publication and dissemination of findings.

The Medical Researcher engaged under this Purchase Order shall perform the following duties and deliverables within the operational boundaries of Vietnam Ho Chi Minh City:

• Design and implement a multi-centre epidemiological study on vector-borne diseases affecting populations in the Ho Chi Minh City metropolitan area, including surrounding provinces of Binh Duong and Dong Nai.
• Conduct laboratory-based molecular analysis of pathogen samples collected from partner hospitals across Vietnam Ho Chi Minh City, ensuring compliance with the Ministry of Health of Vietnam's biosafety regulations.
• Prepare and submit a detailed research methodology document, statistical analysis plan, and ethical review application to the Institutional Review Board (IRB) of the Ho Chi Minh City University of Medicine and Pharmacy.
• Supervise a team of no fewer than six (6) junior research assistants and laboratory technicians based at the Buyer's facility in District 1, Ho Chi Minh City.
• Deliver a minimum of two (2) peer-reviewed publications in internationally indexed journals and one (1) presentation at a national medical research conference held in Vietnam Ho Chi Minh City.
• Provide monthly progress reports to the Buyer's Research Directorate, with a final comprehensive report upon project completion.

Payment shall be disbursed in three (3) equal instalments corresponding to the completion of each phase. Each instalment is due within thirty (30) calendar days of the Buyer's written acceptance of the phase deliverables. All payments shall be made via bank transfer to the Service Provider's designated account at a licensed commercial bank operating in Vietnam Ho Chi Minh City.

• Compliance: The Medical Researcher shall adhere to all applicable laws and regulations of the Socialist Republic of Vietnam, including but not limited to the Law on Science and Technology, the Law on Health, and all decrees issued by the Ministry of Health governing research conducted in Vietnam Ho Chi Minh City.
• Intellectual Property: All data, findings, publications, and intellectual property generated under this Purchase Order shall be jointly owned by the Buyer and the Medical Researcher, with the Buyer retaining primary rights for institutional use and the Medical Researcher retaining rights for academic publication.
• Confidentiality: The Medical Researcher shall maintain strict confidentiality of all patient data, proprietary research methodologies, and unpublished findings. This obligation survives the termination of this Purchase Order for a period of five (5) years.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Medical Researcher for all work completed and expenses incurred up to the date of termination.
• Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation under the rules of the Vietnam International Arbitration Centre (VIAC) located in Ho Chi Minh City. If mediation fails, the dispute shall be referred to the competent People's Court of Ho Chi Minh City.
• Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, epidemics, or government-mandated lockdowns in Vietnam Ho Chi Minh City.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Medical Researcher for the research programme described herein, to be executed within the administrative boundaries of Vietnam Ho Chi Minh City.
