5.1 Payment shall be made in Brazilian Reais (BRL) via bank transfer to the Meteorologist's designated account, in accordance with the schedule below.

5.2 30% advance payment (R$ 129,300.00) upon formal acceptance of this Purchase Order and commencement of services.

5.3 40% interim payment (R$ 172,400.00) due at the midpoint of the contract period (month 3), subject to satisfactory delivery of all forecasts, reports, and field surveys to date.

5.4 30% final payment (R$ 129,300.00) due within 15 business days of the Meteorologist's submission of the final annual climate vulnerability report and completion of all deliverables specified in Section 4.

5.5 All payments are subject to the deduction of applicable Brazilian taxes, including ISS (Imposto Sobre Serviços) levied by the municipality of Rio de Janeiro, and any withholdings required under Brazilian federal tax law.

6.1 This Purchase Order constitutes a binding agreement between the Buyer and the Meteorologist upon signature by both parties. All services shall be performed in full compliance with the regulations of the Brazilian Meteorological Society (SBM) and the National Institute of Meteorology (INMET).

6.2 The Meteorologist warrants that all forecasts, analyses, and reports produced under this Purchase Order shall be based on current, verified atmospheric data and shall adhere to the scientific standards established for meteorological practice in Brazil.

6.3 The Meteorologist shall maintain professional liability insurance with a minimum coverage of R$ 500,000.00 for the duration of this Purchase Order, with the Buyer named as an additional insured party.

6.4 All data, reports, and intellectual property generated under this Purchase Order shall remain the exclusive property of the Buyer, unless otherwise agreed in writing. The Meteorologist shall not disclose proprietary meteorological data to third parties without prior written consent.

6.5 The Meteorologist shall comply with all applicable data protection regulations, including the Brazilian General Data Protection Law (LGPD — Lei Geral de Proteção de Dados, Law No. 13,709/2018), in the handling of any personal data encountered during fieldwork in Brazil Rio de Janeiro.

6.6 In the event of force majeure, including but not limited to extreme weather events, natural disasters, or government-mandated shutdowns affecting operations in Rio de Janeiro, either party may suspend performance of this Purchase Order without penalty, provided written notice is given within 48 hours of the event.

6.7 Disputes arising from this Purchase Order shall be resolved through arbitration in the city of Rio de Janeiro, Brazil, in accordance with the rules of the Brazilian Arbitration Association (CAM-CCBC), conducted in the Portuguese language.

6.8 This Purchase Order is governed by the laws of the Federative Republic of Brazil. The competent jurisdiction for any legal proceedings shall be the courts of the city of Rio de Janeiro, state of Rio de Janeiro, Brazil.
