This Purchase Order is issued by Northwind Atmospheric Solutions Inc. to formally engage the services of a qualified Meteorologist for the provision of atmospheric data analysis, weather forecasting, and climate risk assessment services. The scope of work outlined in this Purchase Order is binding upon acceptance by the Meteorologist and shall remain in effect for the duration specified herein unless amended in writing by both parties.

  • 3.1 Scope and Standards: The Meteorologist shall deliver all services in strict compliance with the Meteorological Service of Canada (MSC) data protocols and the Ontario Environmental Bill, 2021. All forecasts and analyses produced under this Purchase Order must be accurate, timely, and professionally peer-reviewed prior to final delivery.
  • 3.2 Performance Period: Services shall commence on July 1, 2025, and conclude on December 31, 2025, unless extended by mutual written agreement. The Meteorologist is expected to maintain a minimum availability of 40 hours per week within the Canada Toronto service area.
  • 3.3 Payment Terms: Invoices shall be submitted monthly on the last business day of each calendar month. Payment is due within thirty (30) days of invoice receipt. Late payments shall accrue interest at the rate prescribed under the Ontario Interest Act. All payments shall be made via electronic funds transfer (EFT) to the Meteorologist's designated Canadian financial institution account.
  • 3.4 Intellectual Property: All meteorological data, analyses, forecasts, and reports generated specifically for Northwind Atmospheric Solutions Inc. under this Purchase Order shall be considered work-for-hire. The Meteorologist retains the right to use anonymized, aggregated data for academic publication with prior written consent from the client.
  • 3.5 Confidentiality: The Meteorologist agrees to maintain strict confidentiality regarding all proprietary data, client information, and internal communications encountered during the performance of services in Canada Toronto. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  • 3.6 Insurance and Liability: The Meteorologist shall maintain professional liability insurance with a minimum coverage of $2,000,000 CAD and shall provide a certificate of insurance upon request. The Meteorologist shall be liable for any damages arising from gross negligence or willful misconduct in the performance of meteorological services.
  • 3.7 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Meteorologist shall be compensated for all services rendered up to the effective date of termination, less any applicable deductions.
  • 3.8 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Canada Toronto in accordance with the Arbitration Act, 1991 (Ontario).
  • 3.9 Compliance: The Meteorologist warrants that they hold a valid professional designation and are in good standing with the relevant Canadian meteorological professional body. The Meteorologist shall comply with all applicable Canada Toronto municipal bylaws, federal environmental regulations, and data privacy legislation (including PIPEDA) throughout the term of this Purchase Order.

By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work set forth in this Purchase Order for Meteorologist services in Canada Toronto. This document constitutes a binding agreement upon execution by all authorized representatives.
