This Purchase Order is issued by Shanghai Meteorological Science & Technology Group Co., Ltd. (hereinafter referred to as the "Buyer") to procure the professional services of a certified Meteorologist for deployment and operational support within the metropolitan region of China Shanghai. The Meteorologist shall be responsible for the comprehensive analysis, forecasting, and reporting of atmospheric conditions affecting the greater Shanghai area, including but not limited to the Pudong, Minhang, Baoshan, and Jiading districts.
The Meteorologist engaged under this Purchase Order shall hold a minimum of a Master's degree in Meteorology or Atmospheric Sciences from an accredited institution, possess no fewer than eight (8) years of professional experience in operational meteorology, and demonstrate proficiency in the use of the China Meteorological Administration (CMA) data systems, WRF (Weather Research and Forecasting) modeling platforms, and satellite imagery interpretation tools. The Meteorologist shall be fluent in Mandarin Chinese and English to facilitate seamless communication with both local government agencies and international stakeholders operating in China Shanghai.

4.1 Commencement and Duration: The Meteorologist shall commence duties no later than 1 July 2025 at the Buyer's primary facility located in Pudong New Area, China Shanghai. The engagement period under this Purchase Order shall extend through 31 December 2025, subject to mutual renewal by written agreement.
4.2 Payment Terms: Payment shall be made in three (3) equal installments via bank transfer to the Supplier's designated account. The first installment (33.33%) is due upon execution of this Purchase Order. The second installment (33.33%) is due upon completion of the Severe Weather Monitoring phase. The final installment (33.34%) is due upon delivery and acceptance of the Climate Impact Assessment Report. All payments shall be denominated in Chinese Yuan (CNY) and processed through a licensed financial institution in China Shanghai.
4.3 Compliance and Licensing: The Meteorologist shall comply with all regulations set forth by the China Meteorological Administration, the Shanghai Municipal Government, and applicable national laws governing meteorological services, data handling, and foreign professional employment in China Shanghai. The Supplier guarantees that the Meteorologist holds a valid work permit and residence permit for the People's Republic of China.
4.4 Confidentiality: All meteorological data, proprietary forecasting models, and internal communications generated during the course of this Purchase Order shall be treated as strictly confidential. The Meteorologist shall not disclose, publish, or transmit any such information to third parties without prior written consent from the Buyer.
4.5 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Supplier for all services rendered up to the effective date of termination, as calculated on a pro-rata basis.
4.6 Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the Shanghai International Arbitration Center (SHIAC) in China Shanghai.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Meteorologist in China Shanghai. This document constitutes a binding agreement between the Buyer and the Supplier effective from the date of the last signature.
