Terms and Conditions

1. Scope and Obligation: This Purchase Order authorizes the engagement of the named Meteorologist and the procurement of associated meteorological equipment and services as itemized above. The Meteorologist shall provide all professional services exclusively within the jurisdiction of Iraq Baghdad and shall comply with all regulations issued by the Iraqi Meteorological Directorate and the Ministry of Water Resources.

2. Performance Standards: The Meteorologist shall deliver daily weather bulletins no later than 06:00 local time (Baghdast time, UTC+3) and shall issue severe weather warnings within thirty (30) minutes of radar confirmation. All forecasts and analyses shall be submitted in both Arabic and English to ensure accessibility for all operational staff in Iraq Baghdad.

3. Equipment Delivery and Installation: All meteorological instruments and the Doppler radar unit shall be delivered to the Ministry's central facility in Al-Mansour, Baghdad, no later than 20 July 2025. Installation, commissioning, and initial calibration shall be completed within fourteen (14) calendar days of delivery. The Meteorologist shall oversee all installation activities and certify operational readiness in writing.

4. Payment Schedule: Payment shall be made in three (3) equal installments: (a) 40% upon signed acceptance of this Purchase Order and delivery of all equipment; (b) 35% upon completion of the six-month service period and submission of the mid-term performance report; (c) 25% upon successful completion of the full twelve-month contract term. All payments shall be processed via bank transfer to the account designated by the supplier within thirty (30) days of invoice receipt.

5. Insurance and Liability: The Meteorologist and the supplier entity shall maintain comprehensive professional liability insurance with a minimum coverage of 500,000,000 IQD for the duration of this Purchase Order. All equipment shall be insured against loss, damage, and theft while in the custody of the supplier or during transit within Iraq Baghdad.

6. Confidentiality and Data Sovereignty: All meteorological data, radar imagery, and climate analyses generated under this Purchase Order shall be considered the exclusive property of the Government of Iraq. The Meteorologist shall not disclose, publish, or transmit any operational data to foreign entities without prior written authorization from the Ministry of Water Resources, Baghdad.

7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination for convenience, the Meteorologist shall be compensated for all services rendered and non-cancellable equipment purchases up to the date of termination. Termination for cause (material breach, failure to meet performance standards) shall be effective immediately upon written notice.

8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Baghdad, Iraq. The parties agree to attempt amicable resolution before initiating any legal proceedings.

9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-imposed restrictions affecting operations in Iraq Baghdad. The affected party shall notify the other within five (5) business days of the occurrence.
