This Purchase Order is issued by MedTech Climate Analytics Ltd. (hereinafter referred to as the "Buyer") to engage the professional services of a qualified Meteorologist for the purpose of providing comprehensive atmospheric data analysis, climate risk assessment, and weather forecasting support for the Buyer's operational facilities located in Israel Tel Aviv. This document constitutes a binding procurement instrument and shall be governed by the laws of the State of Israel.
The Meteorologist engaged under this Purchase Order shall perform the following duties and deliverables in and around Israel Tel Aviv:
- Provide daily meteorological briefings and seasonal climate outlooks for the Tel Aviv metropolitan area, including the coastal plain, the Carmel foothills, and the surrounding agricultural zones.
- Conduct a full atmospheric risk assessment for the Buyer's data center and logistics hub situated in the Ramat Gan industrial district, adjacent to Israel Tel Aviv.
- Develop a 12-month predictive weather model tailored to the Mediterranean climate patterns characteristic of the Tel Aviv region, accounting for seasonal dust storms, winter cyclonic events, and summer heat anomalies.
- Deliver a written technical report (minimum 40 pages) summarizing findings, with all data calibrated to the Israel Meteorological Service (IMS) reference stations in Tel Aviv.
- Attend two on-site consultation meetings per month at the Buyer's headquarters in Tel Aviv-Yafo to present interim findings and adjust forecasting parameters.
- Provide emergency weather advisory support during declared red-alert meteorological events as issued by the Israel Meteorological Service for the Tel Aviv district.

Payment for all services rendered under this Purchase Order shall be made in New Israeli Shekels (ILS) via bank transfer to the account designated by the Meteorologist vendor. Invoicing shall be conducted on a monthly basis, with payment due within thirty (30) calendar days of receipt of a valid invoice. The Buyer reserves the right to withhold payment for any deliverable that does not meet the specifications outlined in this document. All payments are subject to the standard withholding tax provisions applicable under Israeli tax law for professional services rendered in Israel Tel Aviv.
All services, on-site consultations, and deliverable submissions under this Purchase Order shall be performed and delivered at the Buyer's premises located at 42 HaYarkon Street, Tel Aviv-Yafo, Israel Tel Aviv, or at such other location within the Tel Aviv metropolitan area as mutually agreed in writing. The Meteorologist shall ensure that all data collection instruments and field observations are conducted in compliance with the regulations of the Israel Meteorological Service and the relevant environmental protection authorities of the State of Israel.
- This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. Failure to accept within this period shall render this document null and void.
- The Meteorologist warrants that all data, analyses, and forecasts provided shall be accurate to the best of current scientific standards and shall be free from intellectual property infringement.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
- The Meteorologist shall maintain professional liability insurance with a minimum coverage of ILS 2,000,000 for the duration of the engagement in Israel Tel Aviv.
- All disputes arising from this Purchase Order shall be resolved through the competent courts of Tel Aviv, Israel, in accordance with the Civil Procedure Law, 5744-1984.
- Confidentiality: All proprietary data, business plans, and operational details shared with the Meteorologist in connection with this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent of the Buyer.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Meteorologist to provide atmospheric and climate services in Israel Tel Aviv. This document, once executed, shall serve as the definitive procurement record for the services described herein.
