This Purchase Order is issued by SOTRAVAIL Climat & Environnement S.A. to MétéoExpert Afrique Occidentale SARL for the engagement of a certified Meteorologist to provide comprehensive atmospheric monitoring, forecasting, and climate advisory services in the Ivory Coast Abidjan metropolitan area and its surrounding regions. The Meteorologist engaged under this Purchase Order shall be responsible for delivering daily weather bulletins, seasonal climate outlooks, severe weather alerts, and specialized meteorological assessments tailored to the operational needs of the Buyer in the Ivory Coast Abidjan region. All services rendered under this Purchase Order shall comply with the standards set forth by the Agence Nationale de Météorologie (ANAM) of the Republic of Côte d'Ivoire and the World Meteorological Organization (WMO) guidelines applicable to the West African sub-region.

- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Supplier. The Meteorologist designated by the Supplier must hold a minimum of a Master's degree in Meteorology or Atmospheric Sciences and possess at least five (5) years of professional experience in tropical and equatorial climate systems relevant to Ivory Coast Abidjan.
- Delivery of Services: All meteorological services described in this Purchase Order shall commence on 1 July 2025 and conclude on 30 June 2026, unless otherwise extended by mutual written agreement between the parties.
- Payment Terms: Payment shall be made in CFA Francs (XOF) via bank transfer to the Supplier's designated account in Abidjan, Ivory Coast. Invoices are payable within thirty (30) calendar days of receipt. A late payment penalty of 1.5% per month shall apply to overdue balances.
- Performance Standards: The Meteorologist shall ensure a minimum forecast accuracy rate of 85% for 24-hour and 48-hour predictions in the Ivory Coast Abidjan area. Failure to meet this standard for three consecutive months shall entitle the Buyer to terminate this Purchase Order with fourteen (14) days' written notice.
- Compliance: The Meteorologist and the Supplier shall comply with all applicable laws of the Republic of Côte d'Ivoire, including but not limited to the Code du Travail, data protection regulations, and the licensing requirements of ANAM for the operation of meteorological services in Ivory Coast Abidjan.
- Confidentiality: All meteorological data, proprietary forecasting models, and client-specific climate information generated under this Purchase Order shall remain the exclusive property of the Buyer. The Meteorologist shall not disclose such information to third parties without prior written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for services rendered up to the effective date of termination.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of the Republic of Côte d'Ivoire. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Abidjan, Ivory Coast.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, natural disasters, government actions, or other events beyond reasonable control, provided that the affected party notifies the other within five (5) business days.
This Purchase Order is authorized and approved by the undersigned representatives of both parties. By signing below, each party acknowledges and agrees to all terms, conditions, and obligations set forth in this Purchase Order for the provision of Meteorologist services in Ivory Coast Abidjan.
