This Purchase Order is issued by Grupo Meteorológico del Valle de México, S.A. de C.V. (hereinafter referred to as the "Buyer") to procure the professional services of a certified Meteorologist for the purpose of providing comprehensive meteorological analysis, forecasting, and climate risk assessment services within the metropolitan area of Mexico Mexico City and its surrounding regions. The services described herein are critical to the Buyer's ongoing environmental monitoring program and disaster preparedness initiatives in the Mexico City metropolitan zone.

The Meteorologist engaged under this Purchase Order must hold a minimum of a Master's degree in Meteorology, Atmospheric Sciences, or a closely related discipline from an accredited institution in Mexico or internationally. The Meteorologist must possess a valid professional license (cédula profesional) registered with the Mexican Ministry of Public Education (SEP) and a minimum of eight (8) years of professional experience in operational meteorology, with at least five (5) years of direct experience working within or covering the Mexico Mexico City metropolitan area and the Valley of Mexico basin.
The Meteorologist shall be responsible for producing daily and weekly weather forecasts, issuing severe weather alerts in coordination with the Servicio Meteorológico Nacional (SMN), conducting atmospheric research relevant to the unique topography of Mexico Mexico City (elevation approximately 2,240 meters above sea level), and providing expert testimony or advisory input to municipal planning authorities in Mexico Mexico City regarding climate adaptation strategies.
- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties. All services shall be rendered in compliance with applicable Mexican federal and local regulations, including those of the Mexico Mexico City government.
- The Meteorologist shall maintain professional liability insurance with a minimum coverage of MXN 5,000,000.00 for the duration of the contract, with the Buyer named as an additional insured party.
- All deliverables, reports, and forecasts produced by the Meteorologist under this Purchase Order shall be the exclusive intellectual property of the Buyer, unless otherwise agreed in writing.
- Payment shall be made via bank transfer to the account designated by the Seller. Invoices must include the Seller's RFC, the Purchase Order number (MXC-MET-2025-04782), and a detailed description of services rendered.
- The Meteorologist shall comply with all data protection obligations under the Mexican Federal Law on Protection of Personal Data in Possession of Private Parties (LFPDPPP) when handling any personal data in the course of services performed in Mexico Mexico City.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Seller shall be compensated for all services rendered up to the effective date of termination.
- All disputes arising from this Purchase Order shall be resolved through binding arbitration in Mexico Mexico City, in accordance with the rules of the Mexican Arbitration Center (Centro de Arbitraje de México).
- The Meteorologist shall attend a minimum of two (2) quarterly review meetings with the Buyer's management team at the Buyer's offices in Mexico Mexico City to report on progress, findings, and upcoming meteorological outlooks.
- Force majeure events, including but not limited to natural disasters affecting Mexico Mexico City, shall suspend obligations under this Purchase Order for the duration of the event, with written notice provided within 48 hours.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Buyer authorizes the procurement of the Meteorologist services as described herein, and the Seller accepts the engagement to provide said services in Mexico Mexico City in full compliance with the specifications outlined in this document.
