- This Purchase Order constitutes a binding agreement between Atlantic Coastal Operations (Pty) Ltd (hereinafter "the Buyer") and Mokoena Meteorological Consulting (Pty) Ltd (hereinafter "the Supplier") for the provision of professional Meteorologist services in Cape Town, South Africa.
- The Meteorologist engaged under this Purchase Order must hold a valid registration with the South African Meteorological Society and maintain professional indemnity insurance of no less than R 5,000,000.00 for the duration of the contract.
- All meteorological forecasts, advisories, and reports shall be issued in accordance with the standards set by the South African Weather Service (SAWS) and the World Meteorological Organization (WMO) guidelines applicable to the Cape Town and Western Cape region.
- The Supplier shall submit monthly invoices to the Buyer's procurement department in Cape Town. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice, in accordance with South African tax regulations.
- The Meteorologist shall comply with all applicable South African legislation, including the National Environmental Management Act, the Occupational Health and Safety Act, and any local by-laws pertaining to the Western Cape Province and the City of Cape Town municipality.
- Confidentiality: All operational data, shipping schedules, and proprietary information of the Buyer shall be treated as strictly confidential. The Meteorologist shall not disclose any such information to third parties without prior written consent from the Buyer.
- This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for all services rendered up to the effective date of termination.
- Disputes arising from this Purchase Order shall be resolved in accordance with the laws of the Republic of South Africa, and the courts of Cape Town shall have exclusive jurisdiction.
- The Meteorologist shall attend a minimum of two (2) quarterly performance review meetings at the Buyer's Cape Town office to discuss forecast accuracy metrics, service delivery, and areas for improvement.
- All deliverables under this Purchase Order shall be submitted in English, the official business language of the Buyer, and shall reference the specific geographic coordinates and meteorological zones relevant to Cape Town, South Africa.
