- This Purchase Order constitutes a binding agreement between the purchasing entity and the contracted Meteorologist service provider for all services to be performed within the jurisdiction of United States Chicago, Cook County, Illinois.
- The Meteorologist shall maintain all professional certifications, including but not limited to the American Meteorological Society (AMS) Chartered Meteorologist designation, and shall comply with all Illinois state and United States federal regulations governing meteorological consulting services.
- All services under this Purchase Order shall be performed at the designated United States Chicago office location or at consortium field sites within a 50-mile radius of the United States Chicago city center, unless otherwise agreed in writing.
- Payment shall be remitted within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Illinois commercial code provisions applicable to United States Chicago business transactions.
- The Meteorologist shall provide a minimum of 48 hours' written notice before any scheduled absence. Emergency weather events in United States Chicago shall be exempt from this notice requirement, and the Meteorologist shall be obligated to respond within two (2) hours of a declared severe weather alert.
- All data, forecasts, models, and reports produced by the Meteorologist under this Purchase Order shall remain the exclusive intellectual property of the purchasing entity. The Meteorologist shall not disclose proprietary atmospheric data to third parties without written authorization.
- This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois and the federal laws of the United States of America. Any disputes arising from this agreement shall be resolved through arbitration in United States Chicago, Illinois.
- The Meteorologist shall carry professional liability insurance with a minimum coverage of $2,000,000 per occurrence, naming the purchasing entity as an additional insured party. Proof of insurance shall be provided prior to the commencement of services.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Meteorologist shall complete all in-progress deliverables and submit a final invoice for services rendered up to the termination date.
- This Purchase Order is valid only for the procurement of Meteorologist services as described herein and shall not be construed as a general engagement agreement for future meteorological consulting in United States Chicago or elsewhere.
