This Purchase Order is issued by Brisbane Health & Wellness Services Ltd (hereinafter referred to as the "Buyer") to Brisbane Midwifery Collective Pty Ltd (hereinafter referred to as the "Supplier") for the engagement of a qualified Midwife to provide comprehensive antenatal, intrapartum, and postnatal care services to clients of the Buyer located in and around Australia Brisbane. This Purchase Order constitutes a binding agreement between both parties and shall be governed by the laws of the State of Queensland, Australia Brisbane, and the relevant provisions of the Australian Consumer Law.
The Midwife engaged under this Purchase Order shall hold current registration with the Australian Health Practitioner Regulation Agency (AHPRA) and must maintain professional indemnity insurance in accordance with the standards set by the Midwives Board of Australia. All services rendered under this Purchase Order shall comply with the National Standards for Midwifery in Australia and the specific clinical guidelines issued by the Queensland Health Department for the Australia Brisbane metropolitan region.

3.1 This Purchase Order is valid for a service period commencing 01 August 2025 and concluding 31 July 2026, unless terminated earlier in accordance with Clause 3.7.
3.2 The Midwife engaged under this Purchase Order must maintain a minimum of $10,000,000 in professional indemnity insurance and shall provide a certificate of insurance to the Buyer prior to the commencement of services in Australia Brisbane.
3.3 All Midwife services shall be delivered in accordance with the Australian Midwifery Council's National Standards and the Queensland Health Clinical Guidelines. The Midwife shall adhere to the Code of Ethics for Midwives in Australia.
3.4 The Buyer shall make payment within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier. Late payments shall attract interest at the rate prescribed under the Queensland Interest on Late Payments of Debts Act 2003.
3.5 The Supplier warrants that the Midwife assigned to this Purchase Order holds an active AHPRA registration, a Bachelor of Midwifery or equivalent qualification, and a minimum of five (5) years of clinical experience in the Australia Brisbane region.
3.6 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the date of termination.
3.7 This Purchase Order shall be governed by and construed in accordance with the laws of the State of Queensland, Australia Brisbane. Any disputes arising shall be resolved through mediation in Australia Brisbane before proceeding to the Queensland Civil and Administrative Tribunal (QCAT).
3.8 The Supplier shall maintain strict confidentiality of all patient records in compliance with the Privacy Act 1988 (Cth) and the National Privacy Principles applicable in Australia Brisbane.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for Midwife services in Australia Brisbane. This document, once executed, shall serve as the definitive record of the commercial arrangement between the Buyer and the Supplier.
