This Purchase Order is issued by Dhaka Maternal & Child Health Services Limited for the engagement of a qualified Midwife to provide skilled birth attendance and maternal care services at the facility located in Bangladesh Dhaka. The Midwife shall be responsible for managing all aspects of antenatal, intranatal, and postnatal care in accordance with the national guidelines set by the Directorate General of Health Services (DGHS), Bangladesh. The services covered under this Purchase Order include but are not limited to the following:

4.1 This Purchase Order is valid for a period of twelve (12) months from the date of issue, i.e., from 15 June 2025 to 14 June 2026, and may be renewed upon mutual written agreement between the parties.
4.2 The Midwife engaged under this Purchase Order shall maintain valid professional licensure issued by the Bangladesh Medical and Dental Council and shall provide proof of continued registration with the Bangladesh Midwives Association upon request.
4.3 All services shall be rendered in strict compliance with the National Maternal Health Policy of Bangladesh and the operational guidelines of the Directorate General of Health Services, Bangladesh Dhaka Regional Office.
4.4 Payment shall be made on a monthly basis within thirty (30) days of receipt of the service report and invoice. Payment shall be processed via bank transfer to the account designated by the Midwife service provider. The bank details are: Bank – Sonali Bank, Bangladesh Dhaka Branch; Account No – 0012-3456-7890; Account Name – Nusrat Jahan.
4.5 The Midwife shall be required to maintain a minimum response time of thirty (30) minutes for emergency obstetric cases within the Bangladesh Dhaka metropolitan zone. Failure to meet this standard on three or more occasions in a calendar month shall constitute grounds for termination of this Purchase Order.
4.6 The Midwife shall carry a minimum of Tk. 5,00,000 (Five Lakh Taka) professional indemnity insurance coverage throughout the validity of this Purchase Order. A copy of the insurance certificate shall be submitted to the Buyer prior to commencement of services.
4.7 All patient records, delivery logs, and health data generated under this Purchase Order shall remain the property of Dhaka Maternal & Child Health Services Limited and shall be stored in accordance with the Bangladesh Data Protection Act, 2018.
4.8 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, all services rendered up to the effective date of termination shall be settled in full.
4.9 This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Arbitration Act, 2001.
4.10 The Midwife shall not subcontract or delegate any portion of the services specified in this Purchase Order without prior written consent from the Buyer.
The Midwife services under this Purchase Order shall commence on 01 July 2025. The Midwife shall report to the Dhaka Maternal & Child Health Services Limited facility at Banani, Bangladesh Dhaka, and shall be available on a rotating shift schedule as determined by the Head of the Obstetrics & Gynecology Department. The first service report and invoice shall be due by 05 August 2025.
This Purchase Order is issued as a formal procurement instrument for the engagement of Midwife services. By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this document. This Purchase Order constitutes a binding agreement between the Buyer and the Midwife service provider for the duration specified herein.
