1. Purpose and Scope of This Purchase OrderThis Purchase Order is issued by the Alexandria Maternal & Child Health Center to formally engage the services of a certified Midwife and associated midwifery support staff for the provision of comprehensive obstetric and neonatal care within the Alexandria, Egypt region. This Purchase Order governs the terms, conditions, deliverables, and financial arrangements for the engagement of the Midwife professional services described herein. All services rendered under this Purchase Order shall be conducted in full compliance with the regulations set forth by the Egyptian Ministry of Health and Population, as well as the specific operational guidelines established by the Alexandria Governorate Health Authority.

3.1 This Purchase Order constitutes a binding agreement between the Alexandria Maternal & Child Health Center and Alexandria Midwife Professional Services Ltd. upon signature by both authorized representatives. The Midwife and all supporting midwifery personnel engaged under this Purchase Order must hold valid, current licenses issued by the Egyptian Ministry of Health and must maintain professional liability insurance throughout the duration of the contract.
3.2 All Midwife services shall be delivered in accordance with the clinical protocols established by the Alexandria Governorate Health Authority. The Lead Midwife shall submit monthly activity reports to the Director of Obstetric Services, detailing the number of antenatal consultations, deliveries attended, postnatal follow-ups completed, and any complications encountered.
3.3 The Midwife and all midwifery staff are required to observe strict confidentiality regarding patient medical records in compliance with Egyptian data protection legislation. No patient information shall be disclosed to third parties without written consent from the patient or a lawful court order.
3.4 The supplier shall ensure that all midwifery equipment listed in Item 03 is delivered, installed, and calibrated at the Alexandria facility no later than 30 days from the date of this Purchase Order. A warranty period of twenty-four (24) months applies to all equipment.
3.5 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Midwife services shall be wound down in a manner that ensures continuity of care for all patients currently under the Midwife's supervision.
4. Payment TermsPayment for the services and goods outlined in this Purchase Order shall be made in Egyptian Pounds (EGP) via bank transfer to the account designated by Alexandria Midwife Professional Services Ltd. Payment shall be structured as follows: an initial advance payment of twenty-five percent (25%) upon execution of this Purchase Order; quarterly progress payments of twenty percent (20%) each, due within fifteen (15) business days of the end of each calendar quarter; and a final payment of the remaining balance upon satisfactory completion of the twelve-month service period and submission of the final Midwife activity report. Late payments shall accrue interest at a rate of two percent (2%) per month as stipulated by Egyptian commercial law.
5. Governing Law and Dispute ResolutionThis Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from or in connection with this Purchase Order, including disputes regarding the performance of Midwife services in Egypt Alexandria, shall first be subject to good-faith negotiation between the parties. If resolution is not achieved within thirty (30) days, the dispute shall be referred to the competent courts of Alexandria, Egypt, which shall have exclusive jurisdiction.
6. Acceptance and AuthorizationBy signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of Midwife professional services in Egypt Alexandria. This document is executed in two (2) original copies, one for each party.
