1. This Purchase Order constitutes a binding agreement between Frankfurt Maternal Health Services GmbH (hereinafter "the Purchaser") and the Midwife service provider (hereinafter "the Vendor") for the provision of midwifery services in Germany Frankfurt.
2. The Midwife engaged under this Purchase Order must hold a valid professional license issued by the State of Hesse and must maintain current professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of € 1,000,000 per claim.
3. All Midwife services shall be performed in strict compliance with the German Social Code Book V (SGB V), the German Federal Medical Professions Act, and the applicable regulations of the Hessian State Medical Association (Landesärztekammer Hessen).
4. The Vendor shall provide a qualified Midwife who is registered with the German Midwives' Register (Hebammenregister) and who has completed a minimum of five (5) years of clinical practice in Germany Frankfurt or equivalent German metropolitan areas.
5. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Midwife provider. Late payments shall accrue interest at the statutory rate pursuant to § 288 of the German Civil Code (BGB).
6. The Midwife shall maintain full confidentiality of all patient data in accordance with the General Data Protection Regulation (GDPR / DSGVO) and the German Federal Data Protection Act (BDSG). All clinical records generated in Germany Frankfurt shall be stored in compliance with German medical data retention laws (minimum ten years).
7. Either party may terminate this Purchase Order with a written notice period of fourteen (14) days. In the event of termination during an active pregnancy, the Midwife shall ensure a seamless handover of care to a successor Midwife in Germany Frankfurt at no additional cost to the Purchaser.
8. All disputes arising from this Purchase Order shall be governed by the laws of the Federal Republic of Germany. The exclusive court of jurisdiction shall be the Local Court (Amtsgericht) of Germany Frankfurt am Main.
9. The Midwife shall submit a written progress report to the Purchaser's medical director at the conclusion of each service phase (antenatal, intrapartum, postnatal) within five (5) business days.
10. This Purchase Order is valid for a single patient engagement. Any additional Midwife services beyond the scope defined herein shall require a supplementary Purchase Order or written amendment signed by both parties.

The Midwife services outlined in this Purchase Order shall commence on 01 July 2025 and are expected to conclude no later than 30 September 2025, subject to the natural progression of the pregnancy and postnatal period. All in-person Midwife consultations, deliveries, and postnatal visits shall take place at the following locations in Germany Frankfurt: Frankfurt University Hospital (UKAG), Goethe University Medical Centre, or the patient's private residence within the postal code areas 60311–60599 of Germany Frankfurt am Main.
