2. Scope of Midwife Services Required

This Purchase Order is issued by Al-Rafidain Maternal & Child Health Center, Baghdad, Iraq, to formally procure the professional services of a certified Midwife to be deployed at our facility in Iraq Baghdad. The Midwife shall provide comprehensive maternal and neonatal care in accordance with the standards set by the Iraqi Ministry of Health and the International Confederation of Midwives (ICM). The services outlined in this Purchase Order are essential to maintaining the quality of obstetric care delivered to expectant mothers and newborns in the Baghdad metropolitan area.

4. Qualifications Required for the Midwife

The Midwife engaged under this Purchase Order must meet the following mandatory criteria to practice in Iraq Baghdad:

  1. Hold a valid Bachelor's degree in Midwifery or equivalent qualification recognized by the Iraqi Ministry of Health and the Board of Midwifery, Baghdad.
  2. Possess a current, active Midwife practicing license issued by the Iraqi Ministry of Health (License renewal verified annually).
  3. Demonstrate a minimum of five (5) years of clinical experience in obstetric and neonatal care, with at least two (2) years of experience in a hospital setting within Iraq Baghdad or a comparable urban environment.
  4. Be proficient in both Arabic and English to communicate effectively with patients, medical staff, and international health partners operating in Baghdad.
  5. Hold a valid Basic Life Support (BLS) and Advanced Life Support (ALS) certification, renewed within the preceding twelve months.
  6. Pass a comprehensive medical fitness examination and security clearance as required for all healthcare personnel operating in Baghdad, Iraq.
  7. Agree to adhere to the ethical code of conduct established by the Iraqi Medical Association and the ICM Code of Ethics for Midwives.

5. Terms and Conditions of This Purchase Order

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq, specifically the Iraqi Civil Code and the Iraqi Public Procurement Law (No. 22 of 2013, as amended). Any disputes arising from this Purchase Order regarding Midwife services in Iraq Baghdad shall be resolved through the Baghdad Commercial Court.
  2. Service Standards: The Midwife shall deliver all services in strict compliance with the clinical protocols established by Al-Rafidain Maternal & Child Health Center and the national maternal health guidelines issued by the Iraqi Ministry of Health for the Baghdad region.
  3. Performance Metrics: The Midwife's performance shall be evaluated quarterly based on patient satisfaction scores, complication rates, delivery outcomes, and adherence to scheduled antenatal and postnatal visits. Failure to meet the agreed performance benchmarks for two consecutive quarters shall constitute grounds for termination of this Purchase Order with thirty (30) days' written notice.
  4. Insurance and Liability: The Supplier shall maintain comprehensive professional indemnity insurance covering the Midwife for a minimum liability of 500,000,000 IQD per claim. All insurance policies shall be registered with the Iraqi Central Insurance Authority and valid throughout the service period in Baghdad.
  5. Confidentiality: The Midwife shall maintain strict confidentiality regarding all patient medical records in accordance with Iraqi data protection regulations. No patient information from the Baghdad facility shall be disclosed to any third party without written consent.
  6. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from circumstances beyond reasonable control, including but not limited to civil unrest, security incidents in Baghdad, government-mandated closures, or natural disasters affecting Iraq.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Midwife shall complete all ongoing patient care plans and ensure a smooth transition of records to a successor Midwife approved by the Buyer.
  8. Payment Schedule: Invoices shall be submitted monthly by the 5th of each month for services rendered in the preceding month. Payment shall be processed within thirty (30) days via bank transfer to the Supplier's designated account at the Central Bank of Iraq, Baghdad branch.
  9. Compliance with Iraqi Regulations: The Midwife shall comply with all applicable Iraqi federal and Baghdad municipal regulations, including health and safety standards, labor laws, and any directives issued by the Baghdad Directorate of Health.

6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the procurement of Midwife services in Iraq Baghdad. This document constitutes a binding agreement effective from the date of the last signature.
