3. CONTRACT DURATION & RENEWAL

This Purchase Order for Midwife services shall remain in effect for a period of twelve (12) months, commencing on 1 July 2025 and concluding on 30 June 2026, unless terminated earlier in accordance with the terms herein. The Jerusalem Municipal Health Directorate reserves the right to renew this Purchase Order for an additional twelve-month period upon mutual written agreement, subject to satisfactory performance evaluation of the Midwife and continued compliance with all Israeli regulatory requirements for midwifery practice in Israel Jerusalem.

4. PAYMENT TERMS

All payments under this Purchase Order shall be made in New Israeli Shekels (ILS) via bank transfer to the account designated by the Midwife. Invoices shall be submitted to the Jerusalem Municipal Health Directorate no later than the fifth (5th) business day of the following month. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by the Israeli Late Payment Law (5.75% per annum). The Midwife shall provide a valid Israeli Value Added Tax (VAT) invoice bearing the appropriate tax identification number registered with the Israel Tax Authority.

5. TERMS AND CONDITIONS
  1. Licensure and Compliance: The Midwife shall maintain a valid and active midwifery license issued by the Israeli Ministry of Health throughout the entire duration of this Purchase Order. The Midwife shall comply with all standards set by the Israel Midwives Association and the National Insurance Institute (Bituach Leumi) regulations governing midwifery practice in Israel Jerusalem.
  2. Scope of Practice: The Midwife shall perform all duties within the scope of practice defined under Israeli law for registered midwives. Any procedure requiring a physician's authorization shall be coordinated with the attending obstetrician at the designated medical facility in Jerusalem.
  3. Confidentiality: The Midwife shall adhere strictly to the Israeli Privacy Protection Law, 5741-1981, and all applicable data protection regulations. All patient records generated under this Purchase Order shall be stored securely and shall not be disclosed to any third party without written consent, except as required by Israeli law.
  4. Insurance: The Midwife shall maintain professional liability insurance with a minimum coverage of ILS 1,000,000 per claim, issued by an insurance company licensed to operate in the State of Israel. Proof of insurance shall be provided to the Purchaser upon request.
  5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. The Purchaser may terminate immediately for material breach, loss of midwifery licensure, or failure to meet the quality standards established for midwife services in Israel Jerusalem.
  6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Jerusalem, Israel.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to acts of God, government orders, or public health emergencies affecting the delivery of midwife services in Israel Jerusalem.
  8. Amendments: Any modification to this Purchase Order shall be made in writing and signed by both parties. Verbal agreements shall not constitute a valid amendment to the terms of this document.
