The Midwife engaged under this Purchase Order shall perform the following duties within the facilities and community zones of Ivory Coast Abidjan:

• Conduct routine prenatal check-ups, fetal monitoring, and risk assessment for expectant mothers registered with AMHS Group in Abidjan.
• Provide skilled birth attendance during normal and assisted deliveries at the AMHS Group maternity ward in Cocody, Abidjan.
• Administer postpartum care, including newborn assessments, breastfeeding support, and maternal recovery monitoring.
• Coordinate with obstetricians and pediatricians for high-risk pregnancies and emergency referrals within the Abidjan healthcare network.
• Deliver community-based maternal health education programs in underserved neighborhoods of Ivory Coast Abidjan, focusing on family planning, nutrition, and danger signs in pregnancy.
• Maintain accurate clinical records in compliance with the Ivorian Ministry of Health data protection regulations.
• Participate in monthly quality assurance reviews and submit progress reports to the AMHS Group procurement and clinical management teams.

• Payment shall be made in West African CFA Francs (XOF) via bank transfer to the account designated by the vendor.
• Monthly invoices for the Midwife's clinical services shall be submitted by the 5th of each month for the preceding month's work.
• Payment terms: Net 30 days from the date of invoice receipt and verification by AMHS Group's finance department.
• A 5% retention shall be withheld from each monthly payment and released upon successful completion of the full contract term.
• All applicable taxes under Ivorian law, including the Taxe sur la Valeur Ajoutée (TVA) at 18%, shall be included in the quoted prices unless otherwise stated.
• Late payments shall incur a penalty of 1.5% per month of delay, in accordance with the Commercial Code of Ivory Coast.

• The vendor shall provide proof of professional indemnity insurance covering the Midwife's activities in Abidjan, with a minimum coverage of 50,000,000 XOF.
• AMHS Group reserves the right to terminate this Purchase Order with 30 days' written notice in the event of unsatisfactory performance, breach of professional ethics, or failure to meet the agreed service levels.
• The Midwife shall comply with all hospital policies, infection control protocols, and patient confidentiality standards in force at AMHS Group facilities in Ivory Coast Abidjan.
• Any modifications to the scope, duration, or pricing of this Purchase Order must be documented in a written amendment signed by both parties.
• This Purchase Order becomes effective upon signature by both parties and remains valid for the duration specified in Section 1.

The Midwife shall report for duty at the AMHS Group main facility located at 12 Boulevard de Vridi, Cocody, Abidjan, Ivory Coast, no later than 08:00 hours on 01 July 2025. The vendor is responsible for the Midwife's transportation to the facility during the contract period. All clinical equipment, medical supplies, and documentation systems required for the Midwife's duties shall be provided by AMHS Group at the Ivory Coast Abidjan site.

This Purchase Order is authorized and approved by the undersigned representatives of both parties. By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Midwife in Ivory Coast Abidjan.
