- Scope of Engagement: This Purchase Order authorizes the procurement of qualified Midwife professionals from the Kyoto Midwife Collective Association to deliver comprehensive maternal and neonatal healthcare services within the Japan Kyoto region. All Midwife personnel assigned under this Purchase Order must hold a valid Japanese Midwife License (助産師免許) issued by the Ministry of Health, Labour and Welfare and maintain current registration with the Japan Midwives Association.
- Service Location: All Midwife services shall be rendered exclusively within the administrative boundaries of Japan Kyoto, encompassing the city of Kyoto and its surrounding prefectural wards. The Midwife shall not be redeployed outside the Japan Kyoto region without prior written consent from the Purchasing Party.
- Payment Terms: Payment for Midwife services shall be made on a quarterly basis within 30 days of invoice receipt. The total Purchase Order value of JPY 82,060,000 (inclusive of 10% consumption tax) shall be disbursed in four equal installments of JPY 20,515,000. Payment shall be processed via bank transfer to the account designated by the Kyoto Midwife Collective Association.
- Performance Standards: Each Midwife assigned under this Purchase Order must adhere to the clinical protocols established by the Japan Kyoto Maternal Health Authority. Quarterly performance reviews shall be conducted, and any Midwife failing to meet the established competency benchmarks shall be subject to reassignment or termination of the individual service agreement at no additional cost to the Purchasing Party.
- Confidentiality and Data Protection: All Midwife personnel are bound by the Act on the Protection of Personal Information (APPI) of Japan and the specific data handling policies of the Japan Kyoto healthcare system. Patient records, prenatal data, and postnatal information collected by the Midwife shall be stored securely and shall not be disclosed to third parties without explicit patient consent.
- Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance covering all Midwife personnel for the duration of this Purchase Order. The minimum coverage shall be JPY 100,000,000 per incident. The Supplier assumes full liability for any malpractice, negligence, or professional misconduct committed by the Midwife while performing duties under this Purchase Order in Japan Kyoto.
- Termination Clause: Either party may terminate this Purchase Order with 60 days written notice. In the event of termination, the Purchasing Party shall be obligated to pay for all Midwife services rendered up to the effective date of termination. The Supplier must ensure a minimum 30-day transition period during which the Midwife personnel remain available to facilitate continuity of care for patients in Japan Kyoto.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation under the Japan Commercial Arbitration Association. If mediation fails, the matter shall be submitted to the jurisdiction of the Kyoto District Court in Japan Kyoto.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, pandemics, or government-mandated restrictions affecting the Japan Kyoto region, provided that the affected party notifies the other within 5 business days.
