This Purchase Order is issued by Salud Integral del Valle, S.A. de C.V. to formally request and authorize the procurement of certified Midwife services to be rendered at our primary maternal health facility located in Mexico, Mexico City. The Midwife professional engaged under this Purchase Order shall provide comprehensive prenatal, intrapartum, and postpartum care in accordance with the standards established by the Secretaría de Salud of the United Mexican States and the regulations governing midwifery practice in Mexico City.

  1. Scope of Engagement: The Midwife professional contracted under this Purchase Order must hold a valid license issued by the Colegio de Parteras Profesionales de México and be registered with the Secretaría de Salud. All services shall be performed exclusively within the jurisdiction of Mexico, Mexico City, unless prior written authorization is granted by the Purchasing Entity.
  2. Compliance: The Midwife shall adhere to all federal and local health regulations applicable in Mexico City, including but not limited to the Ley General de Salud, the Norma Oficial Mexicana NOM-004-SSA3-2012 regarding obstetric care, and all protocols established by the local health authority in Mexico City.
  3. Payment Schedule: Invoices shall be submitted on the last business day of each calendar month. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate established by the Banco de México.
  4. Performance Standards: The Midwife is expected to maintain a patient satisfaction rating of no less than 90% as measured by quarterly surveys conducted at the Mexico City facility. Failure to meet this standard for two consecutive quarters shall constitute grounds for termination of this Purchase Order.
  5. Confidentiality: The Midwife shall maintain strict confidentiality regarding all patient medical records in compliance with the Ley Federal de Protección de Datos Personales en Posesión de los Particulares. All patient data shall be stored and processed within Mexico, Mexico City, in accordance with local data protection regulations.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Midwife shall complete all in-progress patient care plans and provide a full handover report to the Purchasing Entity within fourteen (14) days.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Mexico, Mexico City, in accordance with the Commercial Code of the United Mexican States. If mediation fails, disputes shall be submitted to the competent commercial courts of Mexico City.
  8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, public health emergencies, or government-mandated closures affecting operations in Mexico City.

By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of Midwife services in Mexico, Mexico City. This document constitutes a binding agreement effective from the date of the last signature.
