- Compliance with New Zealand Legislation: All Midwife services procured under this Purchase Order must comply with the Midwifery Act 2012, the Health and Disability Services Commissioner Act 1993, the Privacy Act 2020, and all relevant regulations of the Midwifery Council of New Zealand. The supplier warrants that all Midwife practitioners engaged hold current, unrestricted registration with the Midwifery Council of New Zealand.
- Service Delivery Location: All Midwife services shall be delivered within the geographic boundaries of the Auckland region, New Zealand, including but not limited to the Auckland CBD, North Shore, South Auckland, West Auckland, and East Auckland communities. The Midwife may also be required to travel to rural and remote areas within the Auckland District Health Board catchment.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the supplier. Invoices must reference this Purchase Order number (PO-AKL-2025-04782) and include the supplier's IRDT number. Payment will be processed via electronic funds transfer (EFT) to the bank account nominated by the supplier.
- Performance Standards: The Midwife services must meet or exceed the clinical quality standards set by the Midwifery Council of New Zealand and the Auckland District Health Board's Maternal and Child Health Service Plan. Failure to meet agreed key performance indicators (KPIs) may result in service suspension or termination of this Purchase Order.
- Insurance and Indemnity: The supplier must maintain professional indemnity insurance of no less than NZD 10,000,000 per claim and public liability insurance of no less than NZD 20,000,000 for the duration of this Purchase Order. Certificates of insurance must be provided prior to commencement of Midwife services.
- Cultural Safety and Māori Health: The Midwife services must incorporate culturally safe practice, with particular attention to the health needs of Māori, Pasifika, and other diverse communities within New Zealand Auckland. The supplier shall ensure that at least 40% of the Midwife workforce holds demonstrated competence in Te Tiriti o Waitangi principles and Māori health frameworks.
- Confidentiality and Data Protection: All patient information collected during the provision of Midwife services must be handled in strict accordance with the Privacy Act 2020 and the Health Information Privacy Code 1994. Data shall be stored on secure systems within New Zealand and shall not be transferred offshore without prior written consent from the Auckland District Health Board.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. The Auckland District Health Board reserves the right to terminate immediately in the event of material breach, loss of Midwife registration, or failure to maintain required insurance coverage.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from this Purchase Order shall be resolved through the Dispute Resolution process outlined in the New Zealand Public Procurement Guidelines, with jurisdiction vested in the courts of Auckland, New Zealand.
- Amendments: No amendment to this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both parties. Any change in the scope of Midwife services, pricing, or delivery timelines must be documented as a formal Purchase Order amendment.
