2. SCOPE OF MIDWIFE SERVICESThis Purchase Order is issued by the Wellington Community Health Trust to formally engage the services of a registered Midwife operating within the Wellington region of New Zealand. The Midwife shall provide comprehensive antenatal, intrapartum, and postnatal care in accordance with the standards set by the Midwifery Council of New Zealand and the Health and Disability Commissioner Act 1994. All Midwife services rendered under this Purchase Order shall be delivered in compliance with the Health and Safety at Work Act 2015 and applicable New Zealand public health regulations governing maternal and child health services in the Wellington capital region.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand, specifically the Contract and Commercial Law Act 2017 and the Health and Disability Services Complaints Act 1993. All disputes arising from this Purchase Order relating to Midwife services in Wellington shall be resolved through the New Zealand Disputes Tribunal or the courts of competent jurisdiction in Wellington.
- Midwife Registration and Compliance: The Midwife providing services under this Purchase Order must hold a current, unrestricted registration with the Midwifery Council of New Zealand. The Midwife must maintain professional indemnity insurance of no less than NZD 2,000,000 per claim. Failure to maintain valid registration shall constitute immediate grounds for termination of this Purchase Order.
- Service Delivery Location: All Midwife services shall be delivered within the Wellington metropolitan area, including but not limited to the central Wellington CBD, Te Aro, Karori, Porirua, and the Hutt Valley. The Midwife shall maintain a base practice at the registered address in Cuba Street, Wellington, and shall be available for home visits throughout the Wellington region.
- Payment Terms: Payment for all Midwife services listed in this Purchase Order shall be made within 20 business days of receipt of a valid tax invoice from the Midwife practice. Payment shall be made via electronic funds transfer (EFT) to the bank account nominated by the Midwife provider. All amounts are stated in New Zealand Dollars (NZD) and are inclusive of Goods and Services Tax (GST) at the prevailing rate of 15% as administered by the Inland Revenue Department of New Zealand.
- Confidentiality and Privacy: The Midwife shall comply with the Privacy Act 2020 of New Zealand and the Health Information Privacy Code 2020. All patient records, clinical notes, and personal health information generated during the delivery of Midwife services under this Purchase Order shall be stored securely in Wellington and shall not be disclosed to any third party without the written consent of the patient, except as required by New Zealand law.
- Health and Safety: The Midwife shall comply with all obligations under the Health and Safety at Work Act 2015. The Midwife shall maintain a current First Aid certification and shall ensure that all clinical equipment used during Midwife services in Wellington meets the standards prescribed by the Ministry of Health, New Zealand.
- Termination: Either party may terminate this Purchase Order with 14 days written notice. The Wellington Community Health Trust may terminate this Purchase Order immediately if the Midwife breaches any professional conduct standard set by the Midwifery Council of New Zealand or if the Midwife is found to have provided substandard care.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters affecting the Wellington region (earthquakes, tsunamis, volcanic activity), pandemics declared by the New Zealand Ministry of Health, or government-mandated public health restrictions.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be referred to mediation under the New Zealand Disputes Tribunal Act 2012, with the mediation to be conducted in Wellington, New Zealand.
By signing below, the undersigned parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for Midwife services to be delivered in Wellington, New Zealand. This Purchase Order constitutes a binding agreement between the Wellington Community Health Trust and the named Midwife practice upon execution by both parties.
