This Purchase Order is issued by Abuja Health & Maternity Services Limited for the engagement of a qualified and licensed Midwife to provide comprehensive antenatal, intrapartum, and postnatal care services at our facility located in Nigeria Abuja. The Midwife shall be responsible for all aspects of maternal and newborn health management in strict compliance with the standards set by the Nursing and Midwifery Council of Nigeria (NMCN) and the Federal Ministry of Health, Nigeria Abuja.

- This Purchase Order is binding upon acceptance by the Supplier and constitutes a formal contractual agreement between Abuja Health & Maternity Services Limited and Grace & Care Midwifery Practice for the provision of Midwife services in Nigeria Abuja.
- The Midwife engaged under this Purchase Order must hold a valid current licence issued by the Nursing and Midwifery Council of Nigeria (NMCN) and must present proof of registration prior to commencing duties at the Nigeria Abuja facility.
- Payment shall be made within thirty (30) calendar days from the date of invoice submission, via bank transfer to the account designated by the Supplier. Late payments shall attract a penalty of 2% per month as stipulated under Nigerian commercial law.
- The Midwife shall adhere to all clinical protocols, infection control standards, and patient confidentiality policies as established by Abuja Health & Maternity Services Limited and in compliance with the Nigeria Abuja Health Act 2023.
- Any modification, amendment, or cancellation of this Purchase Order must be made in writing and signed by both parties. Verbal agreements regarding the scope of Midwife services shall not be enforceable.
- The Supplier warrants that the Midwife shall carry adequate professional indemnity insurance with a minimum coverage of NGN 10,000,000 (Ten Million Naira) for the duration of this engagement in Nigeria Abuja.
- Disputes arising from this Purchase Order shall be resolved through mediation in Nigeria Abuja, and failing resolution within thirty (30) days, shall be referred to arbitration under the Arbitration and Conciliation Act (Cap A18, LFN 2004).
- This Purchase Order is governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria Abuja shall have exclusive jurisdiction over any legal proceedings arising herefrom.
- The Supplier shall not subcontract or delegate any portion of the Midwife services outlined in this Purchase Order without prior written consent from the Purchasing Party.
- All personal data of patients handled by the Midwife in the course of this engagement shall be protected in accordance with the Nigeria Data Protection Act 2023 and the Nigeria Abuja data privacy regulations.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the provision of Midwife services in Nigeria Abuja. This document shall remain in full force and effect until the completion of the contracted period or until terminated in accordance with the terms stated herein.
