This Purchase Order is issued by St. Teresa's Maternal and Child Health Center to formally engage the professional services of a licensed Midwife, Ms. Angela Reyes, R.M., for the provision of comprehensive obstetric and maternal care services within the facility located in Philippines Manila. The Midwife shall perform duties in accordance with the standards set by the Philippine Midwifery Board and the Professional Regulation Commission (PRC) of the Philippines.

The scope of services under this Purchase Order includes, but is not limited to: prenatal consultations and assessments, intrapartum care and delivery assistance, postnatal follow-up and monitoring, newborn care and initial assessments, breastfeeding counseling and support, antenatal education sessions for expectant mothers, and coordination with obstetricians and pediatricians as clinically indicated. The Midwife shall also maintain accurate patient records in compliance with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173).

3. DETAILED SERVICE SCHEDULE AND COMPENSATION

All amounts are stated in Philippine Pesos (PHP). Applicable 12% Value Added Tax (VAT) and 10% Withholding Tax under Philippine tax law shall be deducted from each payment as required by the Bureau of Internal Revenue (BIR).

4. TERMS AND CONDITIONS

1. This Purchase Order is valid for a period of twelve (12) months commencing July 1, 2025, and shall be renewable upon mutual written agreement of both parties.
2. The Midwife shall maintain a valid and active Professional Regulation Commission (PRC) license and Philippine Midwifery Board certification throughout the entire contract period. Failure to present a valid license upon request shall constitute grounds for immediate termination of this Purchase Order.
3. Payment shall be made on a monthly basis, within fifteen (15) calendar days from the end of each service month, via bank transfer to the account designated by the Midwife.
4. The Midwife shall comply with all institutional policies, infection control protocols, and patient safety standards of St. Teresa's Maternal and Child Health Center, Philippines Manila.
5. The Midwife is bound by strict confidentiality obligations regarding all patient information in accordance with the Philippine Data Privacy Act and the Medical Confidentiality provisions of the Philippine Penal Code.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of gross professional misconduct, termination may be effected immediately without prior notice.
7. All disputes arising from this Purchase Order shall be resolved through mediation under the rules of the Philippine Mediation Center before resorting to litigation in the courts of Metro Manila, Philippines Manila.
8. The Midwife shall be provided with appropriate personal protective equipment (PPE), clinical supplies, and access to all necessary medical records and facilities at no additional cost.

5. AUTHORIZATION AND ACCEPTANCE
