4.1 This Purchase Order is governed by the Civil Code of the Russian Federation and the Federal Law No. 44-FZ on the Contract System in the Sphere of Procurement of Goods, Works, and Services for State and Municipal Needs. All Midwife services rendered under this Purchase Order shall comply with the professional standards established by the Ministry of Health of the Russian Federation.
4.2 The Vendor shall ensure that all Midwife personnel engaged under this Purchase Order hold a valid state-accredited diploma in midwifery, a current professional certification issued by the Committee for Health of Saint Petersburg, and a clean medical clearance certificate valid for the duration of the contract.
4.3 Delivery and onboarding of all Midwife staff shall be completed no later than 1 August 2025. The Vendor shall provide a detailed onboarding schedule to the Buyer's Human Resources department at least fourteen (14) calendar days prior to the start date.
4.4 Payment shall be made in Russian Rubles (RUB) via bank transfer to the Vendor's designated account within thirty (30) calendar days of receipt of a valid invoice and a signed service completion certificate. The Buyer reserves the right to withhold payment for any Midwife service that does not meet the quality benchmarks outlined in Appendix A of this Purchase Order.
4.5 The Vendor shall maintain comprehensive professional liability insurance covering all Midwife personnel at a minimum coverage of 10,000,000 RUB per incident, valid throughout the term of this Purchase Order.
4.6 Any modification, amendment, or cancellation of this Purchase Order must be executed in writing and signed by the authorized representatives of both parties. Verbal agreements regarding Midwife service adjustments are not binding.
4.7 In the event of a dispute arising from the interpretation or execution of this Purchase Order, the parties shall first attempt resolution through good-faith mediation in Saint Petersburg, Russia. Should mediation fail, the dispute shall be submitted to the Arbitration Court of Saint Petersburg and Leningrad Oblast.
4.8 The Vendor warrants that all Midwife services and equipment supplied under this Purchase Order shall be free from defects, meet all applicable Russian sanitary and epidemiological standards (SanPiN), and be fit for their intended clinical purpose in the Saint Petersburg healthcare environment.
All Midwife services under this Purchase Order shall be performed at the Saint Petersburg Municipal Maternity Hospital No. 7, 12 Krestovsky Island Avenue, Saint Petersburg, 197227, Russia, and at such satellite clinics and district hospitals within the Saint Petersburg administrative boundaries as may be designated by the Buyer in writing. The Vendor acknowledges that the primary operational base for all Midwife personnel is the city of Saint Petersburg, Russia, and that all on-site activities shall be conducted in accordance with local municipal health regulations.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Midwife services in Saint Petersburg, Russia. This document constitutes a legally binding agreement effective from the date of the last signature.
