Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between Hôpital Général de Grand Yoff (hereinafter "the Buyer") and Société Sénégalaise de Sages-Femmes Professionnelles (hereinafter "the Supplier") for the provision of qualified Midwife professional services within the city of Senegal Dakar and its immediate surrounding health districts.
  2. All Midwife professionals assigned under this Purchase Order must hold a valid Diplôme d'État de Sage-Femme (DESF) issued by the University of Dakar or an equivalent qualification recognized by the Senegalese Ministry of Health. Each Midwife must present a current professional registration card (carte professionnelle) and a clean criminal background check prior to commencing duties in Dakar.
  3. The Supplier guarantees that every Midwife deployed to the Buyer's facility in Senegal Dakar shall carry a minimum of three (3) years of post-qualification clinical experience in obstetric and neonatal care. The Supplier shall maintain a roster of qualified Midwife replacements to ensure uninterrupted service coverage at all times.
  4. Payment shall be made in West African CFA Francs (XOF) via bank transfer to the Supplier's designated account at Banque Atlantique Sénégal, Dakar, within thirty (30) calendar days of receipt of a valid invoice. The Buyer reserves the right to withhold payment for any Midwife service rendered that does not meet the quality standards outlined in Annex A of this Purchase Order.
  5. The Supplier is responsible for all professional liability insurance covering each Midwife assigned under this Purchase Order while performing duties in Senegal Dakar. The minimum coverage amount shall be 50,000,000 XOF per incident, in compliance with Senegalese health-sector regulations.
  6. Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Buyer shall pay for all Midwife services rendered up to the effective date of termination, and the Supplier shall ensure a smooth transition of patient care records to the Buyer's medical team in Dakar.
  7. All personal health data collected by the Midwife team during the course of service delivery in Senegal Dakar shall be handled in strict accordance with Senegalese Law No. 2008-12 on the protection of personal data and the ethical guidelines of the Senegalese Medical and Midwifery Councils.
  8. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal. Any disputes arising from this Purchase Order regarding Midwife service delivery in Senegal Dakar shall be resolved through the competent courts of Dakar, Senegal.
  9. The Supplier acknowledges that this Purchase Order is subject to audit by the Senegalese Ministry of Health and the Office de Contrôle Interne. All Midwife service records, attendance logs, and patient outcome reports must be maintained for a minimum of five (5) years and made available upon request.
Note: This Purchase Order for Midwife services in Senegal Dakar has been reviewed and approved in accordance with the Senegalese Public Procurement Code (Code des Marchés Publics, Décret No. 2013-1147). The Buyer confirms that the selected Supplier was chosen through a competitive tender process conducted in compliance with all applicable Senegalese public procurement regulations.
