1. Purchase Order SummaryThis Purchase Order is issued by the Seoul Metropolitan Maternal Health Center to formally request and authorize the procurement of professional Midwife services for the provision of prenatal, intrapartum, and postnatal care within the South Korea Seoul metropolitan area. - Intrapartum Support: Continuous Midwife attendance during labor and delivery, including pain management guidance, delivery positioning assistance, and emergency escalation protocols in coordination with on-site obstetric physicians.
- Postnatal Care: A minimum of four (4) postnatal follow-up visits within the first six weeks after delivery, covering breastfeeding support, newborn health assessments, and maternal recovery monitoring.
- Community Outreach: Participation in at least two (2) community maternal health education workshops per quarter in the South Korea Seoul district, targeting first-time mothers and families in underserved neighborhoods.

Payment for this Purchase Order shall be made in Korean Won (KRW) via bank transfer to the supplier's designated account in South Korea Seoul. The payment schedule is as follows: thirty percent (30%) upon execution of this Purchase Order, forty percent (40%) upon completion of the first six (6) months of Midwife service delivery, and the remaining thirty percent (30%) upon final acceptance of all services and submission of the closing report. All invoices must reference this Purchase Order number (SK-SEOUL-2025-04782) and must be submitted no later than the fifth (5th) business day of the following month. Late payments shall accrue interest at a rate of 1.5% per month in accordance with South Korean commercial law.
5. Qualifications and Compliance RequirementsThe Midwife engaged under this Purchase Order must satisfy the following mandatory qualifications: a valid national Midwife license issued by the South Korea Ministry of Health and Welfare; a minimum of five (5) years of clinical experience in maternal and newborn care; current certification in neonatal resuscitation (NRP) and basic life support (BLS); and compliance with all data protection regulations applicable in South Korea Seoul, including the Personal Information Protection Act (PIPA) and the Medical Service Act. The supplier shall provide proof of professional liability insurance with a minimum coverage of 500,000,000 KRW for the duration of this Purchase Order.
6. Term and TerminationThis Purchase Order shall remain in effect for a period of twelve (12) months from the date of execution, commencing July 1, 2025, and concluding June 30, 2026. Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the purchasing entity shall compensate the supplier for all Midwife services rendered up to the effective date of termination. Termination for cause, including but not limited to gross negligence, loss of Midwife licensure, or material breach of contract, may be executed with immediate written notice.
7. Governing Law and Dispute ResolutionThis Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from or in connection with this Purchase Order shall be resolved through mediation under the Seoul International Arbitration Center before proceeding to litigation in the competent courts of South Korea Seoul. Both parties agree to conduct all communications and legal proceedings in the Korean language, with English translations provided for administrative reference.
8. Acceptance and AuthorizationBy signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Midwife services in South Korea Seoul. This document constitutes a binding agreement between the parties upon execution by authorized representatives.
