- Scope of Midwife Services: The contracted Midwife, Laura Ferrer Vidal, shall provide all obstetric and gynaecological midwifery services as outlined in the line items above. All services shall be rendered in compliance with the professional standards established by the Colègi Oficial de Matrones de Catalunya and the broader regulatory framework of the Generalitat de Catalunya, Barcelona.
- Location of Service: All midwife consultations, deliveries, and clinical procedures shall take place at the premises of Clínica Materna Barcelona S.L., located at Carrer de Pallars, 142, Barcelona, Spain, unless otherwise agreed in writing for home-visit postnatal care within the Barcelona metropolitan area.
- Payment Schedule: Invoices for midwife services rendered shall be submitted monthly by the 5th of the following month. Payment shall be made via direct bank transfer (SEPA) within thirty (30) calendar days of invoice receipt. Late payments shall incur interest at the rate established by the Spanish Ley 3/2004 on late payment in commercial transactions.
- Professional Registration: The Midwife shall maintain an active registration with the Colègi Oficial de Matrones de Catalunya throughout the duration of this Purchase Order. Any lapse in professional registration shall constitute grounds for immediate termination of this agreement.
- Insurance and Liability: The Midwife shall maintain professional indemnity insurance with a minimum coverage of €300,000 per claim, as required by Spanish healthcare regulations. Proof of insurance shall be provided to the Buyer prior to the commencement of services.
- Confidentiality and Data Protection: All patient information handled by the Midwife in Barcelona shall be processed in strict accordance with the Spanish Organic Law 3/2018 on Personal Data Protection (LOPDGDD) and the EU General Data Protection Regulation (GDPR). No patient data shall be disclosed to third parties without explicit written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all midwife services rendered up to the effective date of termination. No midwife services shall be scheduled beyond the termination date without a new written agreement.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of Spain. Any disputes arising from this agreement regarding midwife services in Barcelona shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
- Force Majeure: Neither party shall be liable for failure to perform midwife service obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures in Barcelona, Spain.
- Amendments: Any modifications to this Purchase Order, including changes to the scope of midwife services, pricing, or service location within Barcelona, must be documented in a written addendum signed by both parties.
