All Midwife services specified in this Purchase Order shall be rendered at the buyer's primary facility in Thailand Bangkok (Sukhumvit Road, Khlong Toei) and at designated community outreach locations within the Bangkok metropolitan area. The service period commences on 1 July 2025 and concludes on 30 June 2026. The supplier shall ensure that a minimum of six (6) licensed Midwife professionals are available on-site at all times during the contract period. Any substitution of Midwife personnel requires prior written approval from the buyer's Director of Clinical Operations.
Payment for this Purchase Order shall be made in monthly installments via bank transfer to the supplier's designated account. Invoices are due within thirty (30) days from the date of receipt. A 1.5% monthly late-payment penalty shall apply to overdue balances. The buyer reserves the right to withhold payment for any Midwife service that does not meet the quality standards outlined in the attached Service Level Agreement (SLA). All payments are subject to Thai Revenue Code regulations and applicable withholding tax provisions.
- This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes arising from the Midwife services procured under this document shall be resolved through arbitration in Bangkok, Thailand, in accordance with the rules of the Thai Arbitration Institute.
- The supplier warrants that all Midwife professionals assigned under this Purchase Order hold current, valid licenses from the Thai Ministry of Public Health and maintain professional liability insurance with a minimum coverage of THB 10,000,000 per incident.
- The buyer may terminate this Purchase Order with thirty (30) days' written notice if the supplier fails to maintain the required Midwife staffing levels in Thailand Bangkok for more than five (5) consecutive business days.
- All patient data and medical records handled by the Midwife team shall comply with Thailand's Personal Data Protection Act (PDPA) B.E. 2562 (2019). The supplier shall execute a Data Processing Agreement prior to the commencement of services.
- The supplier shall submit a monthly performance report detailing Midwife attendance, patient satisfaction scores, and any adverse events to the buyer's procurement office in Thailand Bangkok by the 5th business day of the following month.
- Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated closures in Thailand Bangkok, shall suspend performance obligations without penalty for a period not exceeding sixty (60) days.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Midwife services and supersedes all prior negotiations, representations, or agreements.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications set forth in this Purchase Order for Midwife professional services in Thailand Bangkok. This document becomes effective upon the last signature.
