This Purchase Order authorizes the procurement of professional Midwife services to be rendered at Al Noor Maternity & Women's Health Centre, located in Abu Dhabi, United Arab Emirates. The contracted Midwife must hold a valid practising license issued by the Department of Health – Abu Dhabi (DHA) and must be registered with the Abu Dhabi Health Services Company (SEHA) where applicable. All Midwife personnel assigned under this Purchase Order shall comply with the UAE Federal Law No. 3 of 2019 on the Regulation of Health Professions and the specific regulations governing midwifery practice in the Emirate of Abu Dhabi.
The Midwife shall provide comprehensive obstetric care including but not limited to: antenatal assessments, fetal monitoring, labour and delivery support, postnatal care for both mother and newborn, breastfeeding support, and health education. All clinical documentation must be entered into the facility's electronic health record system in accordance with DHA data protection and privacy standards. The Midwife is expected to maintain a minimum of 20 continuing professional development (CPD) hours annually as mandated by the UAE Ministry of Health and Prevention.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the civil and commercial codes applicable in Abu Dhabi.
- Payment: Payment shall be made via bank transfer to the supplier's designated account within Abu Dhabi, United Arab Emirates, within thirty (30) calendar days from the date of invoice receipt. Late payments shall accrue interest at 1.5% per month as per UAE commercial practice.
- Service Commencement: All Midwife services outlined in this Purchase Order shall commence no later than 01 July 2025. Failure to commence within five (5) business days of the required date shall entitle the buyer to terminate this Purchase Order without penalty.
- Compliance: The supplier warrants that all Midwife personnel are fully licensed, insured, and in compliance with all Abu Dhabi DHA regulations. The supplier shall provide copies of all relevant licenses, insurance certificates, and professional indemnity coverage upon request.
- Confidentiality: All patient information handled by the Midwife under this Purchase Order is subject to the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. Breach of confidentiality shall result in immediate termination and legal action.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In cases of gross professional misconduct or loss of DHA license, termination shall be immediate and without notice.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the Abu Dhabi Courts, or alternatively through arbitration under the rules of the Abu Dhabi Global Market (ADGM) Financial Disputes Centre.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to government-mandated closures in Abu Dhabi, United Arab Emirates.
