All goods specified in this Purchase Order shall be delivered to the United Kingdom Birmingham Garrison Headquarters at the address stated in Section 1, no later than 30 August 2025. Delivery shall be made between the hours of 0800 and 1600, Monday through Friday, excluding public holidays in the United Kingdom. The Military Officer designated as receiving authority shall inspect all items upon arrival and issue a Certificate of Acceptance or a Notice of Non-Conformance within five (5) working days of delivery. Title and risk of loss shall transfer to the buyer upon physical receipt and written acceptance at the Birmingham facility.
5. TERMS AND CONDITIONS- This Purchase Order is governed by the laws of England and Wales and the United Kingdom Government Contracts Regulations 2015. Any disputes arising from this Purchase Order shall be resolved in the courts of Birmingham, United Kingdom.
- The supplier warrants that all goods supplied under this Purchase Order are new, unused, and conform to the specifications set forth herein. Any item found to be defective or non-conforming shall be replaced at the supplier's sole expense within fourteen (14) calendar days.
- Payment shall be made by BACS transfer to the account details provided in Section 2, within thirty (30) days of receipt of a valid tax invoice and the Certificate of Acceptance issued by the authorising Military Officer.
- The supplier shall maintain full insurance coverage for all goods in transit to the United Kingdom Birmingham delivery point. The supplier is liable for any damage, loss, or theft occurring prior to acceptance.
- All personnel of the supplier accessing the Garrison Headquarters in Birmingham must present valid photographic identification and be accompanied by a designated Military Officer escort at all times. Security clearance at Level 2 (Secret) or above is required for access to restricted areas.
- The supplier shall comply with all applicable United Kingdom data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, in the handling of any personal data related to Military Officer personnel.
- This Purchase Order may be amended only by written agreement signed by both the authorising Military Officer and the supplier's authorised representative. No verbal modifications shall be binding.
- The supplier shall not subcontract any portion of the work or supply without prior written consent from the Garrison Commander, United Kingdom Birmingham.
- Failure to meet the delivery deadline shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10% of the total value, after which the buyer reserves the right to terminate this Purchase Order without further liability.
- All intellectual property rights in any customised equipment or software delivered under this Purchase Order shall vest in the Ministry of Defence, United Kingdom, upon full payment.
This Purchase Order is hereby authorised and issued by the undersigned Military Officer in their capacity as the designated procurement authority for the United Kingdom Birmingham Garrison.
