Terms and Conditions

1. This Purchase Order is issued under the authority of the undersigned Military Officer, Col. Alejandro R. Mendoza, acting as the authorized procurement representative for the 1st Infantry Brigade stationed in Caracas, Venezuela. All items listed herein are designated for official military use only and shall not be diverted, resold, or transferred without written authorization from the issuing Military Officer.
2. The vendor, Industrias Militares del Caribe, C.A., shall deliver all goods to the designated location at Fort Tiuna, Caracas, Venezuela, no later than 05 July 2025. Late delivery shall incur a penalty of 1.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 15%.
3. All equipment must comply with the technical specifications established by the Venezuelan Armed Forces (Fuerza Armada Nacional Bolivariana) and meet the quality standards required for a Military Officer of the rank of Colonel or above. Items failing inspection upon delivery shall be returned at the vendor's expense within five (5) business days.
4. Payment shall be processed via government transfer through the Banco de Venezuela, Caracas branch, within thirty (30) calendar days following written acceptance of all items by the receiving Military Officer. No payment shall be released until a formal Acceptance Certificate is signed by the authorized Military Officer.
5. This Purchase Order is subject to the Venezuelan Public Procurement Law (Ley de Contrataciones Públicas) and all applicable regulations of the Ministry of Popular Power for Defense. The Military Officer retains the right to modify, suspend, or cancel this order in whole or in part, with written notice to the vendor, in accordance with Article 47 of the governing statute.
6. All classified materials, including encrypted communication devices and secure document cases, shall be handled in strict accordance with Venezuelan military security protocols. The vendor acknowledges receipt of the Non-Disclosure and Security Clearance Agreement (Form MD-VZL-NDA-2025) and agrees to its terms in perpetuity.
7. Disputes arising from this Purchase Order shall be resolved through the Military Arbitration Tribunal of Caracas, Venezuela, in accordance with the applicable military justice code. The jurisdiction of the courts of Caracas, Venezuela, shall be exclusive for all matters related to this order.
8. The Military Officer reserves the right to conduct random quality inspections at any point during the manufacturing or assembly process. The vendor shall provide full access to production facilities upon 48-hour notice from the issuing Military Officer's office.
