Terms and Conditions of this Purchase Order

1. Scope of Engagement: The Musician agrees to perform all services described in the line items above in a professional and timely manner. All performances and recordings shall take place within the city of Dhaka, Bangladesh, unless otherwise agreed in writing by both parties.
2. Payment Schedule: A 50% advance payment (BDT 134,925.00) shall be disbursed within 5 working days of the Musician's written acceptance of this Purchase Order. The remaining 50% balance (BDT 134,925.00) shall be paid within 7 working days following the successful completion of all deliverables and receipt of a final invoice from the Musician.
3. Payment Method: All payments under this Purchase Order shall be made via bank transfer to the Musician's designated account at BRAC Bank, Mirpur Branch, Dhaka, Bangladesh. No cash payments shall be accepted.
4. Intellectual Property: All compositions, arrangements, and recordings created by the Musician specifically for this Purchase Order shall be the exclusive property of SoundBridge Entertainment Ltd. The Musician retains the right to perform the original compositions at other venues in Bangladesh Dhaka and internationally, provided that SoundBridge Entertainment Ltd. is credited as the original producer.
5. Cancellation Policy: Either party may cancel this Purchase Order with a minimum of 72 hours' written notice prior to the scheduled performance date. In the event of cancellation by the Buyer, the Musician shall be entitled to 50% of the total Purchase Order value as compensation for time and preparation already invested. In the event of cancellation by the Musician, the advance payment shall be refunded in full within 10 working days.
6. Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to acts of God, government-imposed restrictions, natural disasters, or any other event beyond reasonable control, including but not limited to monsoon-related disruptions common in Bangladesh Dhaka during the June–September period.
7. Compliance: The Musician warrants that all services rendered under this Purchase Order shall comply with the laws of the People's Republic of Bangladesh, including the Bangladesh Entertainment Act and all applicable tax regulations administered by the National Board of Revenue (NBR), Dhaka.
8. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through amicable negotiation. Should negotiation fail, the matter shall be referred to the appropriate commercial court in Dhaka, Bangladesh, and governed by the laws of Bangladesh.
9. Confidentiality: The Musician agrees to maintain strict confidentiality regarding all unreleased recordings, setlists, and production details associated with this Purchase Order until the official public release date announced by SoundBridge Entertainment Ltd.
10. Acceptance: This Purchase Order shall become effective upon signature by both the authorized representative of SoundBridge Entertainment Ltd. and the Musician. This document, along with any attached annexures, constitutes the entire agreement between the parties regarding the engagement of the Musician for the described services in Bangladesh Dhaka.
